Agency Contact Information: Acquisition Services Directorate Interior Business Center Department of the Interior 381 Elden Street, Suite 4000 Herndon, VA 20170, Tracy Lambert, Tracy_Lambert@ibc.doi.gov. Place of Performance: Reston, VA. The Government intends to negotiate, on a sole source basis, a Labor Hour acquisition with Moelis & Company. This non-competitive action is being issued by the Acquisition Services Directorate on the behalf of the Department of Commerce, National Telecommunications and Information Agency, FirstNet. Description of Requirement: Background: Market research indicates there may be a significant number of commercial firms that assist "buyers" in acquiring mobile broadband from the Government rather than assisting the Government as the "seller" of broadband, as FirstNet will become. Market research to identify other companies with the expertise necessary for advising the Government in valuation of the broadband was not successful so AQD posted a Request for Information, D16PS00462, on May 5, 2016 for this requirement. The government received two responses and only one response was determined to meet FirstNet's needs. The government is looking for a company that is a leading investment bank type entity, with transactional expertise and experience in the wireless telecommunications sector, experience in developing positions and documentation supporting transaction valuations, and broadband sector specific expertise including assistance in developing and successfully executing a negotiation strategy from a seller perspective. FirstNet reviewed the responses and determined that Moelis & Company meets all areas of the requirement. Objective: Broadband spectrum is a finite and scarce resource that has value for both Federal and commercial users. The Federal Government, usually the Federal Communications Commission (FCC) and NTIA, are the sellers of broadband spectrum, and typically wireless telecommunications firms or other members of industry looking to expand their offering to wireless telecommunications services are the buyers. FirstNet requires mobile broadband sector specific valuation expertise as well as assistance in developing and successfully executing a strategy to be used in negotiations with any resulting offers from qualified vendors in response to the NPSBN Request for Proposal (RFP) that was published in January 2016. Additionally, FirstNet requires ongoing support during the state plan process. Any resulting meaningful negotiations or discussions during the evaluation process will require that FirstNet communicate all necessary and required final transaction terms and conditions that will maximize the value to FirstNet and public safety stakeholders pertaining to the broadband spectrum. Understanding the intricacies of spectrum value is critical to understanding the value and strategy. Procuring services from a company with hands-on experience regarding valuing spectrum licenses around the world in major spectrum bands and providing related competitive and regulatory analysis is critical for NPSBN success. Additionally, wireless spectrum is one of the few types of intangible assets that can be valued based on market comparables. Mobile broadband licenses, in particular, have a relatively well developed market with many comparable transactions. In some cases, however, comparable transactions are not available and evaluators must look to alternative valuation methodologies and strategies. Therefore, the services to be performed include, but may not be limited to, the following: Assisting the Government with the development of key negotiating themes and positioning that maximizes the transaction value to FirstNet, the NPSBN, and public safety stakeholders, in concert with FirstNet. Moelis will be supporting FirstNet in the preparation of the positions and documentation supporting transaction valuations, assisting the Government with ensuring that the FirstNet team is thoroughly prepared, and/or with presentations pertaining to transaction valuations. Moelis will be supporting the development of summary presentations and final recommendations of the spectrum valuation to FirstNet. Other services not identified above but which are inherent within the scope of the contract may also be required and/or requested in support of the NPSBN acquisition pertaining to mobile broadband sector specific valuation. The services and expertise to be provided will significantly guide and assist with the contract negotiations that the Government may enter into with prospective licensees as it moves towards its goal of successfully forming a partnership with an existing or new-entrant market participant(s) to deploy, maintain, and operate the NPSBN for the 25 year period of performance. Moreover, the criticality of maximizing the value of an offer(s) from the final selectee(s) cannot be overstated as this process will ultimately establish the revenue stream for FirstNet's operations as it is set to become a non-appropriated-funded agency once the Network is operable. This action is being conducted in accordance with FAR 13.5, only one responsible source. Moelis & Company showed through the sources sought process that they were a leading investment bank type entity and that they having broadband sector specific expertise including assistance in developing and successfully executing a negotiation strategy from the seller's perspective. An additional requirement that is needed for this acquisition is to bring in support from a company or entity that is not currently involved with FirstNet's operation and/or evaluations. FirstNet requires an independent perspective to ensure that the valuation process is accurate and achieves the maximum benefit for the Government. In order to truly offer an independent review and analysis the prospective vendor would need not to have been involved in FirstNet NPSBN work to date. However, interested parties may identify their interest and capabilities regarding this requirement by submitting a capabilities statement by the date specified herein. The period of performance for this effort will be one year. The Government will consider all capabilities statements received by 1pm EST, Friday, August 26, 2016. Please be advised that it is the offeror's responsibility to assure the Government receives your submission on or before the specified due date. Submissions shall be sent electronically to Tracy Lambert, Contracting Officer at Tracy_Lambert@ibc.doi.gov. This is NOT a request for competitive quotes. A determination by the Government not to compete this proposed action based upon responses to this announcement is solely within the discretion of the Government. Information received is solely for the purpose of determining whether to conduct a competitive acquisition. The Government reserves the right to issue a Request for Quote (RFQ) as a result of this announcement. Please be advised that this announcement may constitute the only notice that will be posted for this acquisition, based on the review of any responses to this notice.
