Sources Sought Notice was Published on the Federal Business Opportunities Page in February 2016. Only one response was received. For Official Use Only JUSTIFICATION FOR OTHER THAN FULL AND OPEN COMPETITION AAFES Okinawa Bakery Justification and Approval 1. Agency Identification. The Defense Logistics Agency (DLA) Troop Support Pacific, Procurement Office Okinawa, Japan, is the Agency and Contracting Activity. 2. Nature of Acquisition Being Approved. The action being approved is the ability to solicit a DLA Troop Support Pacific requirement on an "other than full and open competition" basis. 3. Description of Supply Requirement. DLA Troop Support Pacific has a requirement to provide Market Ready Fresh Bread and Bakery items to various Department of Defense (DoD) requiring activities in Okinawa, Japan. The contract period is expected to extend from June 9, 2016 to June 8, 2017. 3.1 Pricing and Contract Terms. Prices will be fixed for a one (1) year period. The items being procured are Fresh Baked Bread and Fresh Bakery Products. There are currently 82 bakery items on the Approved list. Due to the continuing need for Bakery products, a decision was made to establish a new Blanket Purchase Agreement (BPA) contract. The solicitation will contain a supply listing of Fresh Bread and Bakery items for customers in Okinawa, Japan. 3.2 Background/Procurement History. The existing Blanket Purchase Agreement (BPA) Contract Number, S9E302-14-A-0011, was awarded as a sole source award to the Army & Air Force Exchange Service (AAFES) Bakery Okinawa." The BPA contract was awarded by DLA Troop Support Pacific with an ordering period extending from 9 June 2014 to 8 June 2015. The BPA contract was extended for a year, by way of a contract modification initiated on 8 May 2015. Modification P00001 for SPE302-14A-0011extended the BPA for one (1) additional year, from 9 June 2015 through 8 June 2016, with the option of further extending the BPA for maximum of three (3) additional years if there were no pricing changes to the existing contract. Both the contractor, AAFES Bakery Okinawa, and the Contracting Officer agreed to the terms of the new BPA on 12 May 2015 (See Modification and Supporting Memorandum for Record attachment). 3.3 REDACTED 3.4 Requirement Considerations. The Contracting Officer considered AAFES Bakery Okinawa's request and acknowledged the continuous need for bakery items in Okinawa, Japan. Therefore, a new BPA contract and Pricing Schedule will be directly negotiated with AAFES Bakery Okinawa for a twelve (12) month period. In accordance with FAR 13.106-1(b), the Contracting Officer's may solicit from one (1) source if the Contracting Officer determines that the circumstances of the contract action deems only one (1) source to be reasonably available. The Contracting Officer determined on 5 May 2016 that AAFES Bakery Okinawa is the only source reasonably available. 4. Statutory Authority. The applicable statutory authority permitting other than full and open competition is established in 10 United States Code (U.S.C.) Section 2304(c)(1), as implemented by FAR 6.302-1, and FAR 13.106-1(b), which states that for acquisitions not exceeding the simplified acquisition threshold (currently set at $150,000), Contracting Officers may solicit from one (1) source if the Contracting Officer determines that the circumstances of the contract action deem only one (1) source to be reasonably available. AAFES Bakery Okinawa is the only responsible source and no other supplies or services will satisfy Agency requirements. Therefore, the circumstances permitting other than full and open competition, described in FAR 6.302-1, authorize contracting without providing for full and open competition given the requirements for justifications support the use of this authority. 5. Demonstration of the Nature of Action Requiring Use of Selected Authority. The use of this authority is necessary due to AAFES Bakery Okinawa being the only vendor listed as an "approved source" on the Worldwide Directory of Sanitarily Approved Food Establishments for Armed Forces Procurement website. Additionally, AAFES Bakery Okinawa is currently supplying required and Veterinary (VET)-approved supplies under the existing BPA (Number SPE302-14-A-0011). BPA SPE302-14-A-0011 is between AAFES Bakery Okinawa and DLA Troop Support Pacific and is for United States (US) Federal Government customers located in Okinawa, Japan. 5.1 AAFES Bakery Okinawa bakery products are distributed throughout commissaries and food service locations on all military bases and installations in Okinawa, Japan. Local Okinawan bakeries have been approached but have shown no interest in providing the required supplies. 6. Description of Efforts to Seek Sources. 6.1 Sources Sought Results: To determine capabilities and interest of local vendors identified, DLA Troop Support Pacific published a Sources Sought Notice to the Federal Business Opportunities page on 8 February 2016 (See FBO Sources Sought Notice). Only one (1) response was received from Contractor, AAFES, on 22 February 2016 (See Sources Sought Response from AAFES Bakery Okinawa). 6.2 Approved Sources: AAFES Bakery Okinawa appears as a VET-approved source of bakery items for Okinawa, Japan. (See Approved Sources for Okinawa, Japan). 6.3 Vendor Search Findings: AAFES Bakery Okinawa is the only source registered in the System for Award (SAM) Database who is physically located in Okinawa, Japan. AAFES Bakery Okinawa is located on Camp Kinser and appears as an approved source for supplying the required Fresh Baked Bread and Fresh Bakery Products in Okinawa, Japan. AAFES Bakery Okinawa was the only respondent to our market research efforts to identify local sources. 6.4 Synopsis: This office does not intend to synopsize based on the exception provided at FAR 5.202 (a)(12); however, this justification will be published in accordance with FAR 6.305(a). 7. Price/Cost Determination by the Contracting Officer. As the Contracting Officer, I hereby determine that the anticipated prices will be fair and reasonable, based on an evaluation of prices previously paid for Fresh Baked Bread and Fresh Bakery Products in the Pacific Region and by comparison of prices previously established on published Catalog pricing. Any negotiations that may be necessary will be conducted in order to obtain fair and reasonable prices and favorable discounts. 7.1 Contracting officers shall purchase supplies from responsible sources at fair and reasonable prices. In establishing the reasonableness of the offered prices, the contracting officer shall obtain data other than certified cost or pricing data as necessary to establish a fair and reasonable price. As such, historical item pricing and pricing data was received and reviewed in order to determine price reasonableness (See Market Research Attachments). Additionally, prices were compared to published pricing from the local Okinawa community. Finally, a comparison of prices previously paid aided in establishing prices fair and reasonable. 8. Market Research Results. Review of the current market confirmed that there is no other vendor listed as an "approved source" on the Worldwide Directory of Sanitarily Approved Food Establishments for Armed Forces Procurement site (See Market Research Report and supporting attachments). Those vendors identified from the Okinawa, Japan area do not cover the full range of supply requirements required by customers in Okinawa, Japan, such as sliced bread, donuts, various types of rolls, chips, etc. 9. Other Supporting Facts. Separate technical certification(s) accompanying a Justification for Other Than Full and Open Competition will be prepared and approved at the appropriate level based on the value of the add-ons prior to adding items to the contract. The prices will be determined fair and reasonable prior to the placement of new items on the contract. There are no additional facts supporting the use of this authority. 10. Listing of Sources, if any, that Expressed Interest in Acquisition. None. AAFES Bakery Okinawa was the only contractor who responded to our Market Research efforts. Japan that appears on the VET approved vendor list to supply all required bakery items to the US Federal Government and is the only source that expressed an interest in this acquisition. 11. Actions Agency will take for Subsequent Acquisitions. DLA Troop Support Pacific will continue to publicize Sources Sought Notices and Acquisition Agency Announcements with the intent of locating additional sources. 12. Contracting Officer's Certification.
