INTRODUCTION THIS IS A PRE-SOLICITATION NON-COMPETITIVE (NOTICE OF INTENT) SYNOPSIS TO AWARD A PURCHASE ORDER WITHOUT PROVIDING FOR FULL OR OPEN COMPETITION. The National Heart, Lung, and Blood Institute (NHLBI), Office of Acquisitions (OA), intends to negotiate and award a purchase order on a noncompetitive sole source basis to EMD Millipore Corporation, 645 Elliott Avenue West, Suite 100, Seattle, WA 98119 to provide maintenance services on the ImageStreamX Mark II Imaging Flow Cytometer located in the NHLBI Division of Intramural Research (DIR) in accordance with the following information. BACKGROUND The National Heart, Lung, and Blood Institute (NHLBI), Laboratory of Flow Cytometry Core Facility, conducts research into the biology of cells using fluorescent markers, imaging, and flow cytometry. As part of the research on various diseases such as sickle cell anemia, and projects by NHLBI researchers who use the core facility, the ImageStreamX System is utilized. It is important that this system be maintained and serviced when necessary. PURPOSE The purpose of this acquisition is for a contractor to provide a one year maintenance agreement on the ImageStreamX System. The following instruments shall be covered under the agreement: -ImageStreamX Mark II Imaging Flow Cytometer with the following options: o405nm Laser o642nm Laser o561nm Laser oTwelve (12) Imaging Channels oMulti-Mag 60/20X oEDF oAutoSampler PERIOD OF PERFORMANCE The period of performance will be September 30, 2015 through September 29, 2016. JUSTIFICATION The sole source determination is based on the fact that Millipore is the sole manufacturer of this unique ImageStream system that combines the analytical power of quantitative cell imaging with the statistical power of flow cytometry. Images of cells with antibody fluorochromes excited by 3 different lasers moving in a flowing stream are captured by a camera. The analysis of these images is performed using Millipore's unique software called IDEAS. New and innovative properties of cells can be discovered, such as: -Quantitate the amount, location, and movement of target molecules on, in, or between cells; -Accurately measure cellular processes such as translocation, colocalization, reverse signaling, cell conjugate formation, cell morphology, FISH, gene expression and many more; -Generate and analyze statistically significant data on individual cells, entire populations and sub-populations; and, -Unambiguously confirm your gating strategies by direct visual analysis of gated cells. By combining microscopy and flow cytometry in a single platform, the ImageStream achieves a true breakthrough in cell analysis. Cells are illuminated with both a brightfield source and 3 different lasers. The resulting composite images are spectrally decomposed into as many as 6 component images and captured using Time Delay integration technology on a proprietary CCD camera. You see a brightfield, darkfield and 12 fluorescence imaging channels. The lasers are specifically manufactured for this Millipore ImageStream and must be serviced by Millipore technicians. The EDF (Extended Depth of Field) is manufactured by Millipore for this instrument. It can only be repaired by Millipore. This Millipore ImageStream is a very complicated and technical instrument that must only be maintained by highly trained Millipore engineers and scientists. They are the only ones who know this instrument and technology. For excellent, qualified and timely repair with minimal downtime, a service contract is required for this unique instrument. REGULATORY AUTHORITY This acquisition is conducted under the authority of the Federal Acquisition Regulations (FAR) Subpart 13.106-1(b), Soliciting from a single source (for purchases not exceeding the simplified acquisition threshold), and only one responsible source and no other supplies or services will satisfy agency requirements. ADDITIONAL INFORMATION The North American Industry Classification System (NAICS) Code is 811219, Other Electronic and Precision Equipment Repair and Maintenance, and the Small Business Size Standard is $20.5M. This acquisition is being conducted under FAR Part 13, Simplified Acquisition Procedures, therefore the requirements of FAR Part 6, Competitive Requirements, are not applicable and the resultant award will include all applicable provisions and clauses in effect through the Federal Acquisition Circular (FAC) 05-84 (September 3, 2015). This synopsis is not a request for competitive proposals. However, interested parties may identify their interest and capability to respond to this notice. Responses to this notice shall contain sufficient information to establish the interested parties' bona-fide capabilities for fulfilling the requirement and include: unit price, list price, shipping and handling costs, the delivery period after contract award, the prompt payment discount terms, the F.O.B. Point (Destination or Origin), the Dun & Bradstreet Number (DUNS), the Taxpayer Identification Number (TIN), and the certification of business size. All offerors must have an active registration in the System for Award Management (SAM) www.sam.gov. A determination by the Government not to compete this proposed contract based upon responses to this notice is solely within the discretion of the Government. The information received will normally be considered solely for the purposes of determining whether to proceed on a non-competitive basis or to conduct a competitive procurement. All responses must be received by September 17, 2015 at 9:00am EST and must reference synopsis number NHLBI-CSB-(HL)-2015-189-JML. Responses shall be submitted to the National Heart, Lung, and Blood Institute, Office of Acquisitions, COAC Services Branch, 6701 Rockledge Drive, Room 6151, Bethesda, Maryland 20892-7902, Attention: Jonathan M.
