VISA Capacity Commitment (Attachment 1) 2014 VISA Federal Register Notice Draft VISA Charter Terms and Conditions Draft DD Form 254, Contract Security Classification Specification Cyber Security Guidelines and Lessons Learned Draft VISA Charter Terms and Conditions VISA Carrier Vessel Information Sheet Draft VISA Solicitation Market Research Request for Information Instructions: Attached is the initial "DRAFT" VISA contingency contract solicitation with updated regulatory requirements and liner and charter terms and conditions for the FY16 renewal. Within, for every requirement, term or condition, comments are provided to the side of the text detailing the changes, if any. This initial draft is not all inclusive and merges the previous separate contracts common liner and charter terms and conditions (T&C's) under a general T&C section as well as segregates specific liner and charter T&C's as appropriate. The charter T&C's within are solid requirements based upon current charter contract requirements. However, the specific liner T&C's are not included and are being revised based upon known changes since 2005 and validated to coincide with current Universal Services Contract (USC) liner requirements as applicable. Over the next several weeks, further requests for industry input will be requested on the historical VISA contingency contract requirements to include relevancy of recommended liner T&C's from USC, how to best price the contingency contract, and preferences regarding Rate Methodologies (Revenue Based, Peacetime and Negotiated) for worldwide contingency application. Please review the solicitation in its entirety and provide comments, concerns, issues and/or recommendations for consideration and discussion for the final RFP. Submit your initial VISA draft solicitation comments by 12 Dec 2014 via email to Melinda Lewis (melinda.j.lewis9.civ@mail.mil), Dave Hoag (david.m.hoag.civ@mail.mil), and Nick Weiss (nicholas.e.weiss.civ@mail.mil). In addition, we plan to host an industry day with all interested carriers to further discuss the VISA contingency contract, recommended changes and way forward. For planning purposes, we are targeting a day during the week of 8 December 2014. Purpose: VISA's purpose is to provide a responsive transition from peace to Contingency operations through pre-coordinated agreements for sealift capacity to support DOD Contingency requirements. VISA establishes procedures for the commitment of intermodal shipping services/systems to satisfy such requirements. Accordingly, the contingency contracts need to be renewed to keep current. Background: The VISA program is a partnership between the U.S. Government and the maritime industry to provide the DoD with "assured access" to commercial sealift and intermodal capacity to support the emergency deployment and sustainment of U.S. military forces. The VISA program was put in place and is owned by Department of Transportation's Maritime Administration (MARAD). The VISA program is authorized under the Maritime Administration's authorities under the Defense Production Act of 1950, and the Maritime Security Act of 2003, and was approved as a DOD commercial sealift readiness program on January 30, 1997. The VISA program provides for a time-phased activation of state-of-the-art commercial intermodal equipment to coincide with DOD requirements while minimizing disruption to U.S. commercial operations. MARAD recently extended the VISA program to October 2019. The key component of VISA has been pre-negotiated contracts between DOD and VISA Participants, providing DOD assured access to commercial sealift capacity to meet national defense contingency or emergency requirements. As initially designed, three DOD contracts accomplished VISA Drytime Charter and Ocean Liner Distribution Service objectives: the VISA Enrollment Contract (VEC), the VISA Contingency Contract (VCC) and the Drytime Contingency Contract (DCC). Multiple DOD Components were involved in awarding and administering these multiple contracts. To participate, a company was required to execute multiple contracts (one DCC per vessel, one VCC per carrier) with multiple DOD Components. Reorganization within DOD placed responsibility for sealift contingency contracting in a single organization, USTRANSCOM. Originally, the initial VISA liner vessel contracts were established in SDDC and charter vessel contracts were established in MSC. Both sets of contingency contracts were transferred to USTRANSCOM for adminstration in 2007 and 2011 respectively. On 1 Oct 2013, the charter and liner contingency contracts were extended and consolidated into a single USTRANSCOM agreement in which carriers agreed to a single contract identifying all vessels without any changes to the existing rates, terms and conditions. On 1 Oct 2014, the VISA contingency contracts were extended to 30 Sep 2015 for a 10th and final year of obligation and performance per statute. Scope: The scope of the renewed USTRANSCOM VISA Contingency Contract is to re-establish the combined VISA charter and liner requirements, update vessel capacity enrollment terms, add, remove and/or update current FAR, DFAR, and USTRANSCOM regulatory requirements, add, delete, and/or revise previous charter and liner terms and conditions to coincide with current and/or similar contract terms and conditions for existing contracted charter and liner services, and eliminate any redundancies. In general, most of the VISA contingency contract revisions are minor. However, of interest is new Cyber Security and Facility Clearance requirements. In addition, prior to proceeding with a final VISA Request for Proposals (RFP), a meeting will be scheduled for industry to provide comments on the existing rate methodologies, recommend CLIN/rate structures on how best to price the contract as well as to provide an opportunity for an industry day to discuss recommended or revised liner and charter contract terms and conditions as detailed in the draft solicitation.
