Wage Determination This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; quotes are being requested and a written solicitation will not be issued. This is a combined synopsis/solicitation for Education and Training prepared in accordance with the format in FAR subpart 12.6 as supplemented with additional information included in this notice. This announcement constitutes the only solicitation, quotations are being requested and a written solicitation will not be issued. The solicitation number is HSCMR-12-Q-00003. The solicitation document and incorporated provisions and clauses are those in effect through FAC 2005-41. It is the contractor's responsibility to be familiar with the applicable clauses and provisions. The North American Industry Classification System (NAICS) Code for this acquisition is 611430. Quotations are due on or before 19 March 2012, 4:00 PM. Eastern Standard Time. The Immigration and Customs Enforcement (ICE) Academy, Homeland Security Investigations (HSI) Training Division has a requirement to conduct advanced street gang investigations courses beginning the second quarter of Fiscal Year (FY) 2012. There are 4 courses per year and are scheduled as required. A part of each course requires guest lecturers to facilitate discussions on the topics of complex gang prosecutions, debriefing gang members in a manner to maximize the amount of information gleaned, as well as increase the chances of recruiting persons of interest as informants and sources of information. It should be noted that this course, as an advanced course, requires information not easily available to or quickly absorbed by a regular field agent. The information necessary for this course is of a nature that it requires years of street level investigations and police work dealing in gang enforcement investigations, enforcement operations and prosecutions. Lectures needed are required to take an experienced field agent to a higher proficiency level of expertise and understanding in the area of street gang investigations. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s). (c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. (d) Comptroller General Examination of Record. (End of clause) 3052.209-70 Prohibition on contracts with corporate expatriates. PROHIBITION ON CONTRACTS WITH CORPORATE EXPATRIATES (JUN 2006) (a) Prohibitions. Section 835 of the Homeland Security Act, 6 U.S.C. 395, prohibits the Department of Homeland Security from entering into any contract with a foreign incorporated entity which is treated as an inverted domestic corporation as defined in this clause, or with any subsidiary of such an entity. The Secretary shall waive the prohibition with respect to any specific contract if the Secretary determines that the waiver is required in the interest of national security. (b) Definitions. As used in this clause: Expanded Affiliated Group means an affiliated group as defined in section 1504(a) of the Internal Revenue Code of 1986 (without regard to section 1504(b) of such Code), except that section 1504 of such Code shall be applied by substituting `more than 50 percent' for `at least 80 percent' each place it appears. Foreign Incorporated Entity means any entity which is, or but for subsection (b) of section 835 of the Homeland Security Act, 6 U.S.C. 395, would be, treated as a foreign corporation for purposes of the Internal Revenue Code of 1986. Inverted Domestic Corporation. A foreign incorporated entity shall be treated as an inverted domestic corporation if, pursuant to a plan (or a series of related transactions)- (1) The entity completes the direct or indirect acquisition of substantially all of the properties held directly or indirectly by a domestic corporation or substantially all of the properties constituting a trade or business of a domestic partnership; (2) After the acquisition at least 80 percent of the stock (by vote or value) of the entity is held- (i) In the case of an acquisition with respect to a domestic corporation, by former shareholders of the domestic corporation by reason of holding stock in the domestic corporation; or (ii) In the case of an acquisition with respect to a domestic partnership, by former partners of the domestic partnership by reason of holding a capital or profits interest in the domestic partnership; and (3) The expanded affiliated group which after the acquisition includes the entity does not have substantial business activities in the foreign country in which or under the law of which the entity is created or organized when compared to the total business activities of such expanded affiliated group. Person, domestic, and foreign have the meanings given such terms by paragraphs (1), (4), and (5) of section 7701(a) of the Internal Revenue Code of 1986, respectively. (c) Special rules. The following definitions and special rules shall apply when determining whether a foreign incorporated entity should be treated as an inverted domestic corporation. (1) Certain Stock Disregarded. For the purpose of treating a foreign incorporated entity as an inverted domestic corporation these shall not be taken into account in determining ownership: (i) Stock held by members of the expanded affiliated group which includes the foreign incorporated entity; or (ii) stock of such entity which is sold in a public offering related to the acquisition described in subsection (b)(1) of Section 835 of the Homeland Security Act, 6 U.S.C. 395(b)(1). (2) Plan Deemed In Certain Cases. If a foreign incorporated entity acquires directly or indirectly substantially all of the properties of a domestic corporation or partnership during the 4-year period beginning on the date which is 2 years before the ownership requirements of subsection (b)(2) are met, such actions shall be treated as pursuant to a plan. (3) Certain Transfers Disregarded. The transfer of properties or liabilities (including by contribution or distribution) shall be disregarded if such transfers are part of a plan a principal purpose of which is to avoid the purposes of this section. (d) Special Rule for Related Partnerships. For purposes of applying section 835(b) of the Homeland Security Act, 6 U.S.C. 395(b) to the acquisition of a domestic partnership, except as provided in regulations, all domestic partnerships which are under common control (within the meaning of section 482 of the Internal Revenue Code of 1986) shall be treated as a partnership. (e) Treatment of Certain Rights. (1) Certain rights shall be treated as stocks to the extent necessary to reflect the present value of all equitable interests incident to the transaction, as follows: (i) warrants; (ii) options; (iii) contracts to acquire stock; (iv) convertible debt instruments; and (v) others similar interests. (2) Rights labeled as stocks shall not be treated as stocks whenever it is deemed appropriate to do so to reflect the present value of the transaction or to disregard transactions whose recognition would defeat the purpose of Section 835. (f) Disclosure. INTRODUCTION AND BACKGROUND The Immigration and Customs Enforcement (ICE) Academy, Homeland Security Investigations (HSI) Training Division is tentatively scheduled to conduct advanced street gang investigations courses beginning the second quarter of Fiscal Year (FY) 2012. A part of this course requires guest lecturers to facilitate discussions on the topics of complex gang prosecutions, debriefing gang members in a manner to maximize the amount of information gleaned, as well as increase the chances of recruiting persons of interest as informants and sources of information. It should be noted that this course, as an advanced course, requires information not easily available to or quickly absorbed by a regular field agent. The information necessary for this course is of a nature that it requires years of street level investigations and law enforcement work dealing in gang enforcement investigations, enforcement operations and prosecutions. Lectures needed are required to take an experienced field agent to a higher proficiency level of expertise and understanding in the area of street gang investigations. a. Location: The course will be held at the Federal Law Enforcement Training Center in Glynco, Georgia. b. Time period: The course will be held between 8:00am and 5:00pm during an eight-day course. c. Type Seminar: The course shall consist of detailed information, in-depth discussions, with a question and answer session and issued training materials. II BACKGROUND: The Immigration and Customs Enforcement Academy, Homeland Security Investigations Training Division is responsible for training HSI agents as gang investigators. In an effort to achieve this, HSI Subject Matter Experts (SME's) are attempting to gather experts in this field to train these agents to a high level of proficiency. In doing such, it is necessary to pursue all avenues, including the consideration of private sector experts. III. SCOPE The scope of this effort is to acquire services to provide advanced street gang investigations training to senior federal agents and task force officers. IV. WORK TO BE PERFORMED: a. The contractor(s) shall provide street gang investigations training via lecture and laboratory exercises in accordance with the statement of work. Lectures will range from two hours to eight hours over a period of eight days. Information shall consist of detailed information, in-depth discussion, laboratory exercises, and question and answer sessions. The lecturers are expected to produce historical gang data, and have current information relevant to today's street gangs and trends. Student centered learning methods are preferred when practicable. The lectures shall include, but are not limited to the following topics: i. Complex gang prosecutions, to include (1) Applicable Federal statutes (RICO, VICAR, HOBBS ACT) (2) Application of Federal Law (3) Coordination with the AUSA (4) Federal Evidentiary requirements (5) Presentation of evidence (6) Interviewing and Managing Federal Witnesses ii. Debriefing gang members, to include (1) Obtaining confessions (2) Developing rapport (3) Gathering intelligence (4) Federal guidelines for recruiting gang members and associates as informants (5) Developing sources of information iii. Task Force creation (1) Working within a multi-jurisdictional HSI sponsored task force (2) Recruiting task force members (3) HSI guidelines for training task force members (4) Integrating task force members into HSI operations iv. Inter-agency relations, to include but not limited to liaison with State, Local and non-HSI Federal agencies v. Street gang identification, to include: (1) Colors (2) Graffiti (3) Hand signs (4) Modus operandi (5) Criminal activities (6) Other characteristics vi. Additional street gang characteristics and practices (1) Nation-Wide and transnational street gang trends (2) Sociological make-up of street gangs (3) Street gang recruiting activities and practices (4) Street gangs' use of the internet vii. Officer Safety issues regarding street gang enforcement: (1) Identifying armed suspects (2) Vehicle stops and federal law enforcement tactics (3) Street Gang member tactics and training (4) Street Gang violence b. Requirements: This course will provide training geared specifically to experienced special agents assigned to Public Safety/Community Shield units or officers/agents assigned to street gang investigations. These investigations require the deployment of complex investigative methods to address a unique threat and to counter non-typical high-risk tactical situations. This is a specialized training course that requires each student to have knowledge/experience of basic ICE authorities and basic ICE investigation methods. Because the course includes exercises and discussions that draw upon experience of the participants, two (2) years of work experience since completing basic training is required. The selected guest lecturers must have a minimum of five (5) years of experience as a street level Police Officer or Criminal Investigator specifically working in the area of violent street gangs, or conducting investigations on street gang members and organizations. They must be well-versed in the application of federal and state statutes in the prosecution of street gangs, and must have acquired that knowledge working as an Officer or Agent, or by employment in the United States Attorney's Office, States Attorney's Office, or Local District Attorney's Office. The guest lecturers must also be knowledgeable in how HSI operates, and received this knowledge through first-hand experience. They must understand and have used or witnessed the use of HSI agency resources, and the manner in which HSI agents pursue street gangs. At least one of the lecturers involved must have firsthand knowledge of HSI street gang task force creation and operations. Since trainees may return from training to set up similar task forces. The primary lecturer must have worked directly with HSI involving transnational street gang investigations as it relates to the agents immigration authority and as an Agent, Task Force Member, or served as a street level Police Officer or Detective, and worked closely with HSI Agents on street level gang investigations. Lecturers will be required to produce documentation on street gang related cases they personally worked and prosecuted with relation to street gang members and organizations. At least one lecturer must possess practical experience in, and be able to explain the elements required to prosecute the following major complex conspiracy investigations; Racketeering Influenced and Corrupt Organizations (RICO 18 USC 1961); Violent Crimes in Aid of Racketeering (VICAR 18 USC 1959); Hobbs Act (18 USC 1951). Lecturers must also be well versed in identifying current street gangs and their members, and have a first hand, street level understanding of the violent nature of street gangs and officer safety issues that arise when dealing with violent street gangs, members and their associates. This training is being presented to senior Special Agents and Officers with years of experience in street level investigations relating to gangs and gang organizations; lecturers must have firsthand knowledge, and are required to be extremely experienced in street level gang investigations, the forming of gang task forces and supervising a multi- agency gang task force at the federal, state, or local level. c. Additional Qualification Criterion: 1. Be able to provide/lecture/discuss, at a minimum, each of the items mentioned in Task Descriptions above. 2. The contract lecturers will provide lectures at the Federal Law Enforcement Training Center (FLETC), unless an alternate location is established by the Homeland Security Investigations. Lecturers must be able to obtain clearance to access the FLETC-owned properties, facilities, or export training centers. 3. Lecturers must be prepared to provide, at the request of the HSI Training Division, any and all materials, both digital and in paper form which they will utilize in presentations involving the SGITC course. The material must support the required areas of emphasis, as listed above in the task descriptions. 4. Lecturers must be prepared to have representatives of the HSI Training Division observe their instructional abilities in a classroom setting, prior to their presentation of any material to Agents and Officers attending the SGITC course. V. PERSONNEL SECURITY REQUIREMENTS Any time the contractor is on site at FLETC, the Program Manager or Lead Instructor for this action will escort them. VI. STAFFING REQUIREMENTS The guest lecturers provided must have experience in the subject matter acquired through actual street level enforcement activities or investigations, and also have a minimum of 3 years of experience in providing lectures to senior federal law enforcement officers/agents. The nature of this training and the audience to whom it is targeted requires that the guest lecturers have a firm understanding of law enforcement mindset. The information being conveyed is not purely academic in nature; much of it is operational and tactical. Therefore, it is imperative that the guest lecturers have actual street level experience relating to the subject matter as it is applied by street level law enforcement officers. VII. PERIOD OF PERFORMANCE The period of performance for this effort will be broken down into 4 respective course dates; they are as follows: Base Period: 05-08-12 to 05-17-12 06-12-12 to 06-21-12 07-24-12 to 08-02-12 09-11-12 to 09-20-12 Option Period 1: 12-04-13 to 12-13-13 02-26-13 to 03-07-13 05-07-13 to 05-16-13 07-16-13 to 07-25-13 Option Period 2: 12-10-13 to 12-19-13 02-04-14 to 02-13-14 04-29-14 to 05-08-14 07-15-14 to 07-24-14 * Note: The dates above, are for planning purposes but can change and are subject to the availability of facilities, instructors, and students. VIII. OTHER DETAILS a. Lecturer Furnished Supplies, Equipment, and Information: The lecturer shall furnish original of brochures, pamphlets, and other materials to enhance the training/seminars conducted for the employees. HSI will provide on-site training space/class room, and other equipment for use by the vendor/business partner personnel. b. Travel and Training: The selected lecturer's travel will be inclusive of the contract price. c. Government Furnished Property and Other Resources: The Government shall provide adequate space and required equipment for the contractor to present the seminars. The Government furnished equipment used to present seminars under this contract will remain the property of the Government.
