IDIQ --Draft Request fot Proposal Bankruptcy & Restructuring Support Services Request for Information (RFI) PBGC: Financial Advisory Services Support: Bankruptcy & Restructuring Support Agency: Pension Benefit Guaranty Corporation Synopsis The PBGC's Department of Insurance Supervision and Compliance (DISC) requires the services of financial advisory firms to support DISC in complex bankruptcy and restructuring cases involving pension plan sponsors and their controlled group members. The overall goal of the procurement is to provide PBGC with the following: 1. A reasonably-priced, flexible contract to acquire commercial financial advisory services. 2. High-quality financial advisory services. 3. The ability to issue task orders and begin work on those task orders in a very short time frame. 4. Access to financial advisory services during a base year and four option years (for a maximum of five possible years). The purpose of this RFI is to obtain feedback from interested firms as to the various pricing structures used in the financial advisory community. Background PBGC currently has multiple-award-schedule, indefinite delivery, indefinite quantity contracts (IDIQ) with seven firms to provide financial advisory services to DISC. Those contracts currently expire on 30 September 2011. Going forward, PBGC is considering replacing those contracts with two sets of IDIQ contracts, one for services in support of bankruptcy & restructuring activities and one in support of transactions. These contracts will be task order contracts, meaning that the firms selected for the new IDIQ contracts will then compete for awards of specific task orders whenever DISC determines it needs outside financial advisory services. Both sets of contracts are likely to be performance based, and will possibly provide incentives for selected firms to obtain certain results in either the bankruptcy/restructuring activities or the transactions. The same firms will be eligible to compete and receive awards for both the Bankruptcy/Restructuring and Transaction Support IDIQ contracts. Proposed Structure: Bankruptcy & Restructuring The IDIQ contracts PBGC proposes to award will contain general requirements that each firm must be prepared to meet. Specific activities that the firms will have to undertake for each bankruptcy/restructuring will be set out in each task order. Because each bankruptcy/restructuring activity is unique, it is difficult to state in advance and with particularity what deliverable items the selected firm would have to provide in each task order. Thus a pricing arrangement providing for payment by deliverable item is probably not practical. Additionally, bankruptcy and restructuring activities tend to be somewhat open-ended in time, so PBGC is considering a pricing structure in which periodic payments would be made to the selected firm to provide for cash flow. PBGC is also considering ways in which to provide a monetary incentive arrangement based on targets that the firm would strive to meet. Request PBGC is aware that financial advisory firms use a variety of pricing structures in commercial activities and that those structures differ according to the types of firms involved (e.g., investment banks, financial consulting firms, and accounting firms). PBGC therefore requests that interested firms review the attached proposed Performance Work Statements for bankruptcy/restructuring services and provide PBGC with feedback. Specifically, we would like to know (1) whether your firm would be interested in bidding on a contract for these services; (2) what types of pricing structures you have seen and used in similar situations; and (3) what ideas you have as to how PBGC might best structure the pricing component its procurement for bankruptcy/restructuring and transactional support.
