Description
Attached is the “Full Export Control Statement” that must be attached on top of any Export Controlled document that is distributed outside of the U.S. Government. Performance Work Statement This is a combined synopsis/solicitation for the commercial items prepared in accordance with the format in Subpart 12.6 as supplemented with additional information included in this notice. The U.S. Coast Guard (USCG), Aviation Logistics Center (ALC), Engineering Services Division (ESD), Procurement Branch intends to issue a firm fixed purchase order to a responsible contractor in accordance with the attached Performance Work Statement using the procedures of FAR 13.5. This announcement constitutes the only solicitation; quotes for the following items are being requested and a written solicitation will not be issued. This solicitation is reserved as a total small business set aside. Solicitation number HSCG38-11-Q-500002 is issued as a Request for Quote (RFQ) and will be used for tracking purposes. This solicitation incorporates the provisions and clauses in effect through Federal Acquisition Circular FAC 2005-50. The North American Industry Classification System (NAICS) Code is 336413 and the small business size standard is 1,000 employees. Any/All Engineering costs associated with the First Article shall be included in quotes submitted in response to this solicitation. Offers should indicate nomenclature, part number, unit price, and extended price, any discounts for prompt payment, and business size standards and minority classifications. Award will be made to the offeror proposing the best value to the Government considering Technical Capability, Past Performance, Delivery and Price. Offers must also include the information contained in the Evaluation Factors section. Drawings will be available upon request as enclosures. The drawings referenced within this solicitation are categorized as Export Controlled under the Arms Export Control Act and contained within the U.S. Munitions List. Prospective contractors shall be registered with the Defense Logistics Agency (DLA) and have an Active certification (http://www.dlis.dla.mil/jcp/search.aspx). Those contractors not registered with the DLA may receive the drawings upon proof of a completed DD Form 2345 form and DLA authorization letter (http://www.dlis.dla.mil/jcp/). A vendor site survey may be necessary to ensure quality, reliability, and lifecycle for the costs of parts procured by ALC. Funding for site surveys is provided by ALC. Based on capabilities of proposed offerors award may be made to more than one offeror. ADDENDUM TO FAR CLAUSE 52.212-4 CONTRACT TERMS AND CONDITIONS -- COMMERCIAL ITEMS JUNE 2010 This contract incorporates one or more clauses by reference, with the same force and effect as if they were given in full text. Also, the full text of a clause may be accessed electronically at Internet address: https://www.acquisition.gov/far/index.html FAR 52.204-4 Printed or Copied Double-Sided on Recycled Paper (Aug 2000) FAR 52.204-7 Central Contractor Registration (Apr 2008) FAR 52.209-4 First Article Approval - Government Testing (Sep 1989) As prescribed in 9.308-2(a) and (b), insert the following clause: (a) The Contractor shall deliver 1 unit(s) of Lot/Item 1 and 1 unit(s) of Lot/Item 2 within 90 calendar days from the date of this contract to the Government at Aviation Logistics Center, Elizabeth City, N.C. 27909-5001 first article tests. The shipping documentation shall contain this contract number and the Lot/Item identification. The characteristics that the first article must meet and the testing requirements are specified elsewhere in this contract. (b) Within 30 calendar days after the Government receives the first article, the Contracting Officer shall notify the Contractor, in writing, of the conditional approval, approval, or disapproval of the first article. The notice of conditional approval or approval shall not relieve the Contractor from complying with all requirements of the specifications and all other terms and conditions of this contract. A notice of conditional approval shall state any further action required of the Contractor. A notice of disapproval shall cite reasons for the disapproval. (c) If the first article is disapproved, the Contractor, upon Government request, shall submit an additional first article for testing. After each request, the Contractor shall make any necessary changes, modifications, or repairs to the first article or select another first article for testing. All costs related to these tests are to be borne by the Contractor, including any and all costs for additional tests following disapproval. The Contractor shall furnish any additional first article to the Government under the terms and conditions and within the time specified by the Government. The Government shall act on this first article within the time limit specified in paragraph (b) of this clause. The Government reserves the right to require an equitable adjustment of the contract price for any extension of the delivery schedule or for any additional costs to the Government related to these tests. (d) If the Contractor fails to deliver any first article on time, or the Contracting Officer disapproves any first article, the Contractor shall be deemed to have failed to make delivery within the meaning of the Default clause of this contract. (e) Unless otherwise provided in the contract, the Contractor- (1) May deliver the approved first article as a part of the contract quantity, provided it meets all contract requirements for acceptance and was not consumed or destroyed in testing; and (2) Shall remove and dispose of any first article from the Government test facility at the Contractor's expense. (f) If the Government does not act within the time specified in paragraph (b) or (c) of this clause, the Contracting Officer shall, upon timely written request from the Contractor, equitably adjust under the Changes clause of this contract the delivery or performance dates and/or the contract price, and any other contractual term affected by the delay. (g) The Contractor is responsible for providing operating and maintenance instructions, spare parts support, and repair of the first article during any first article test. (h) Before first article approval, the acquisition of materials or components for, or the commencement of production of, the balance of the contract quantity is at the sole risk of the Contractor. Before first article approval, the costs thereof shall not be allocable to this contract for (1) progress payments, or (2) termination settlements if the contract is terminated for the convenience of the Government. (i) The Government may waive the requirement for first article approval test where supplies identical or similar to those called for in the schedule have been previously furnished by the Offeror/Contractor and have been accepted by the Government. The Offeror/Contractor may request a waiver. (End of clause) FAR 52.209-7 Information Regarding Responsibility Matters (Jan 2011) (a) Definitions. As used in this provision- "Administrative proceeding" means a non-judicial process that is adjudicatory in nature in order to make a determination of fault or liability (e.g., Securities and Exchange Commission Administrative Proceedings, Civilian Board of Contract Appeals Proceedings, and Armed Services Board of Contract Appeals Proceedings). This includes administrative proceedings at the Federal and State level but only in connection with performance of a Federal contract or grant. It does not include agency actions such as contract audits, site visits, corrective plans, or inspection of deliverables. "Federal contracts and grants with total value greater than $10,000,000" means- (1) The total value of all current, active contracts and grants, including all priced options; and (2) The total value of all current, active orders including all priced options under indefinite-delivery, indefinite-quantity, 8(a), or requirements contracts (including task and delivery and multiple-award Schedules). "Principal" means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager; head of a division or business segment; and similar positions). (End of provision) FAR 52.209-9 Updates of Publicly Available Information Regarding Responsibility Matters. As prescribed at 9.104-7(c), insert the following clause: Updates of Publicly Available Information Regarding Responsibility Matters (Jan 2011) (a) The Contractor shall update the information in the Federal Awardee Performance and Integrity Information System (FAPIIS) on a semi-annual basis, throughout the life of the contract, by posting the required information in the Central Contractor Registration database at http://www.ccr.gov. (b)(1) The Contractor will receive notification when the Government posts new information to the Contractor's record. (2) The Contractor will have an opportunity to post comments regarding information that has been posted by the Government. The comments will be retained as long as the associated information is retained, i.e., for a total period of 6 years. Contractor comments will remain a part of the record unless the Contractor revises them. (3)(i) Public requests for system information posted prior to April 15, 2011, will be handled under Freedom of Information Act procedures, including, where appropriate, procedures promulgated under E.O. 12600. In the event of a conflict, the terms and conditions of the contract shall take precedence over the standard commercial warranty. The contractor shall provide a copy of its standard commercial warranty (if applicable) with its response. Shipments of such supplies will not be made under this contract until use of the Certificate of Conformance has been authorized in writing by the CAO, or inspection and acceptance have occurred. (b) The Contractor's signed certificate shall be attached to or included on the top copy of the inspection or receiving report distributed to the payment office or attached to the CAO copy when contract administration (Block 10 of the DD Form 250) is performed by the Defense Contract Administration Services. In addition, a copy of the signed certificate shall also be attached to or entered on copies of the inspection or receiving report accompanying the shipment. (c) The Government has the right to reject defective supplies or services within a reasonable time after delivery by written notification to the Contractor. The Contractor shall in such event promptly replace, correct, or repair the rejected supplies or services at the Contractor's expense. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records-Negotiation. (1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract. (2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved. (3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. (End of clause) INVOICE INSTRUCTIONS INSTRUCTIONS FOR PROMPT PAYMENT OF PURCHASE ORDERS • Supplies or services must be provided to the "Ship to" address designated under each Contract Line Item Number (CLIN) before payment can be made. • Original invoices are required for payment, however, a copy can be accepted if marked ORIGINAL. Discounts are taken from the date of the invoice, not the date that the invoice is received, and only if the discount is advantageous to the government based on the Treasury rate of interest. 52.212-1 Instructions to Offerors - Commercial Items (Jun 2008) 52.212-2 Evaluation Commercial Items (Jan 1999) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers in order of importance in descending order: o Factor 1 - Technical Capability o Factor 2 - Past Performance o Factor 3 - Delivery o Factor 4 - Price Award will be made utilizing the factors listed above. The Coast Guard intends to award multiple purchase orders to the Contractors whose quote is identified as offering the best value. After all other factors have been evaluated, price will then be evaluated. The closer the offers are to technical capability, past performance and delivery the more important price becomes. If proposals are essentially equal, price may become the deciding factor in selection of a proposal for award. The Government will evaluate Quotes based on the following criteria: Factor 1: Technical Capability The technical evaluation will include examination of the following: • Manufacturing facilities, including staff, capabilities and equipment • Manufacturing/Industry Certifications • Engineering/Design/Graphic capabilities • Quality Program Evaluation of Technical Factors shall be based on the information provided in the quotation. Offerors are encouraged to include statements of current manufacturing capabilities, facilities and workforce available to support this acquisition. Include information on applicable federal and industry certifications and the company's quality program. Offerors are encouraged to include a statement about current commercial items and similar products as examples of manufacturing and engineering capabilities. Factor 2: Past Performance The offeror shall provide three (3) past performances references that reflect relevant experience performed within the past three (3) years. Relevant experience includes that which is similar in dollar thresholds or that which is similar in supplies / services provided. Factor 3: Delivery The required delivery date for the first article is 90 days after purchase order award. The remaining units shall be delivered 120 days after acceptance of first article. Earlier deliverables are acceptable. Factor 4: Price Quotes should identify any price reductions offered, or quantity discounts. All responsible sources may submit offers for quantities listed or quantity price breaks which shall be considered by the agency. 52.212-3 Offeror Representations and Certifications - Commercial Items (Mar 2011). The Ombudsman Program for Agency Protests (OPAP) was established to investigate agency protest issues and resolve them without expensive and time-consuming litigation. OPAP is an independent reviewing authority that is empowered to grant a prevailing protester essentially the same relief as the General Accounting Office (GAO). Interested parties are encouraged to seek resolution of their concerns within the Coast Guard as a Alternative Dispute Resolution (ADR) forum, rather than filing a protest with the GAO or some external forums Interested parties may seek resolution of their concerns informally or opt to file a formal agency protest with the contracting officer or Ombudsman. Informal forum with the Ombudsman. Interested parties who believe that a Coast Guard procurement is unfair or otherwise defective should first direct their concerns to the cognizant contracting officer. If the contracting officer is unable to satisfy the concerns, the interested party is encouraged to contact the Coast Guard Ombudsman for Agency Protests. Under this informal process, the agency is not required to suspend contract award performance. Use of an informal forum does not suspend any time requirement for filing a protest with the agency or other forum. In order to ensure a timely response, interested parties should provide the following information to the Ombudsman: solicitation/contract number, contracting office, contracting officer, and solicitation closing date (if applicable). Formal Agency Protest with the Ombudsman. Prior to submitting a formal agency protest, protesters must first use their best efforts to resolve their concerns with the contracting officer through open and frank discussions. If the protester's concerns are unresolved, an independent review is available by the Ombudsman. The protester may file a formal agency protest to either the contracting officer or as an alternative to that, the Ombudsman under the OPAP program. Contract award or performance will be suspended during the protest period unless contract award or performance is justified, in writing, for urgent and compelling reasons or is determined in writing to be in the best interest of the Government. The agency's goal is to resolve protests in less than 35 calendar days from the date of filing. Protests shall include the information set forth at FAR 33.103(d)(2). If the protester fails to submit the required information, resolution of the protest may be delayed or the protest may be dismissed. This will not preclude refilling of the protest to meet the requirement. To be timely, protests must be filed within the period specified in FAR 33.103 (e).
