Department of Memorandum Veterans Affairs Date: July 12, 2010 From: Donyale Smith, VISN 5 Contracting Officer To: Contract File Subject: Sterile Processing Microsystem (SPM) Technical Support Upgrade (TSU) Justification & Approval JUSTIFICATION AND APPROVAL FOR OTHER THAN FULL AND OPEN COMPETITION: In accordance with Federal Acquisition Regulation (FAR) 6.303, justification and approval for other than full and open competition is hereby approved for the issuance of the contractual action described below using other than full and open competition pursuant to the authority cited herein. 1. CONTRACTING ACTIVITY: Department of Veterans Affairs Veterans Integrated Service Network (VISN) 5 849 International Drive, Suite 275 Linthicum, MD 21090 2. NATURE OF ACTION BEING APPROVED: This justification and approval is for the award of a sole source contract to Materials Management Microsystems (Contractor) to provide continued Technical Support Upgrade (TSU) maintenance service on its proprietary Sterile Processing Microsystem (SPM) instrument tracking software. 3. DESCRIPTION OF SERVICES AND SUPPLIES: Contractor shall provide continued maintenance service on its proprietary SPM instrument tracking software at Baltimore and Washington VA Medical Centers. Instrument tracking software allows each medical center to more efficiently track the cleaning and use of sterilized supplies and equipment. This service is required for continuity of business function. Maintenance service would be provided from date of award to September 30, 2010. Services include unlimited telephone customer service assistance, upgrade to software, and access to the password-protected Materials Management Microsystems website. The total contract value is $7,480. 4. STATUTORY AUTHORITY: The requirement will be procured under citation 10 U.S.C. 2304 (c)(1) and FAR 6.302-1(a)(1): Only one responsible source exists and no other supplies or services will satisfy agency requirements. 5. RATIONALE SUPPORTING USE OF AUTHORITY CITED ABOVE: The requirement is essential to continue Contractor maintenance of its proprietary SPM instrument tracking software at Baltimore and Washington VA Medical Centers. Continuation and maintenance of this service is vital to ensure proper tracking of sterile supplies. Staff at Baltimore and Washington VA Medical Centers have been trained extensively in the use of this proprietary SPD software to track cleaning and use of sterilized equipment and supplies. To have to solicit entirely new software and software licenses would result in disruptions to ongoing services and at additional expenses and staff training time for the Government. The required software license and maintenance services are only available to the Government from Materials Management Microsystems, as their software is proprietary. No other contractor can satisfy VISN 5 requirements for this service. If VISN 5 and the VA Medical Centers in Baltimore and Washington chose not to have continued maintenance service on the SPM software, it would not receive updates, improved capabilities, and computer bug fixes for the software already acquired. This would result in significant disruption to patient services. 6. EFFORT TO SOLICIT POTENTIAL SOURCES: The contractor was the only source identified, since it has proprietary rights on its software and only the Contractor can provide such maintenance service on its software. 7. DETERMINATION OF FAIR AND REASONABLE COST: VISN 5 has reviewed and determined that the total contract value of $7,480 is fair and reasonable. 8. MARKET RESEARCH: Market research was not conducted, since it was determined that only the Contractor could provide continued maintenance services on its proprietary SPM software. 9. ADDITIONAL SUPPORT: N/A 10. OTHER INTERESTED SOURCES: N/A 11. FUTURE COMPETITIVE PLAN: It is anticipated that the Government will do a competitive acquisition for sterile tracking software over the long term if such a need arises due to the medical centers and VISN 5 needing to have a new, enhanced software package to address significant changes to the processes used in tracking sterilized equipment and supplies. 12.
