This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in Subpart 12.6 and 13.5, as supplemented with additional information included in this notice. THIS ANNOUNCEMENT CONSTITUTES THE ONLY SOLICITATION; PROPOSALS ARE BEING REQUESTED AND A WRITTEN SOLICITATION WILL NOT BE ISSUED. The Request for Quote (RFQ) number is EA1330-10-RQ-0800. The synopsis/solicitation constitutes a RFQ and incorporates provisions and clauses in effect through Federal Acquisition Circular 05-41. The RFQ is set aside for small businesses. NOAA provides services from weather forecasts to fisheries management, safe navigation to coastal services, and climate research to ocean exploration. The NOAA Chief Financial Officer (CFO) serves as the principal financial manager for an organization whose appropriated resources approach $5 billion and whose recorded capital asset value exceeds $9 billion. The CFO's Office has the responsibility under the CFO Act to provide the leadership necessary for NOAA to obtain a yearly-unqualified opinion in the audit of its consolidated financial statements. A.2 SCOPE OF WORK/SUPPORT SERVICES The scope of this Statement of Work (SOW) is to provide the NOAA CFO and the Strategic Planning community with access to best practices research and executive education. The research will address issues related to strategic management and business performance issues. The education components will include staff training opportunities and executive leadership development sessions, including facilitated workshops, leadership roundtables, and consultation services. Membership in Government Finance Roundtable provides: Access rights to the following services during the membership term: 1) Access to the Annual Executive Retreat Meeting for one individual from the Member Organization (reserved for the senior most Finance executive) 2) Access to Government Finance Roundtable web site, print publications and decision support tools 3) Access to Government Finance Roundtable teleconferences/webinars 4) An assigned account team which proactively supports the Member Organization in achieving its strategic priorities by connecting the senior most Finance executive with appropriate resources provided by Corporate Executive Board's Government Finance Roundtable Membership in the Corporate Strategy Board provides: 1) Subscription-based best practices research, decision support tools, and executive education to a membership of companies, not-for-profit institutions, and government offices (collectively "Corporate Executive Board (CEB) Network"). 2) "Benchmarking Data" - Benchmarking data is aggregated data received, collected, analyzed, and maintained by CEB derived from information received from Members, public information, and surveys. 3) "Membership Materials" - Materials are program-specific and may consist of publications, surveys, websites, and other materials and services prepared by CEB. Description of Requirements: The contractor shall provide: 1.0 Finance Function Process Improvements and Transformation Services: 1.1 Benchmarking and diagnostic Services 1.1.1 Survey-based tools to facilitate assessment of the finance organization capabilities by internal business partners and customized reports to highlight areas for improvement focus. 1.1.2 Staffing and spending benchmarks for activities in financial planning and analysis (FP&A), controller, audit and treasury functions. 1.2 Best Practices Implementation Guidance: 1.2.1 In-depth profiles of shared services migrations, consolidation of locations, migration of value-added activities, and tactical process and cost savings improvements. 1.2.2 In-depth profiles of tactical improvements and process maps for budgeting and forecasting, strategic planning, management reporting, working capital and risk assessment processes. 1.2.3 Online archive of finance organizational structures. 1.2.4 End-to-end implementation guide(s) for improvements including reporting structures, responsibilities, skills assessments, and tools for the line decisions making. 1.3 Facilitated Onsite Workshop(s): 1.3.1 Working session(s) with research staff on key topics for finance team. 2.0 Staff Training and Leadership Development: 2.1 Teleconferences with topics to include risk management, audit trends, management dashboard development, capital structure, finance staff development and other topical issues. 2.2 Targeted learning modules that walk participants through an end-to=end learning process, including assessment, on a variety of topics. 2.3 Online archives organized by role and key decisions. 2.4 Online/email moderated peer groups to put CFO's in touch with other financial executives. 2.5 Benchmarking reports to assess the effectiveness of employees under supervision versus their peers in terms of span of control, time allocation across key act8ivities, skill level, and leadership capabilities. 3.0 Advisory Services for CFOs and Strategic Planning Community: 3.1 Consultation   A.3 SECURITY REQUIREMENTS The Certification & Accreditation (C&A) requirements of CAR clause 1352.239-73 do not apply and a Security Accreditation Package is not required. Contractors shall comply with NOAA security requirements regarding access to government facilities and follow Financial Systems Division policies and procedures. Contractors must also comply with DOC and NOAA IT Security Policies, which includes completion of annual IT Security Awareness training. Contractors will also be required to sign a NOAA Non-Disclosure Agreement prior to obtaining system access. A.4 PLACE OF PERFORMANCE The Contractor will work at the contractor's offices or on-site (Washington, D.C. (HCHB) and/or Silver Spring, MD Campus) as needed. A.5 GOVERNMENT PROVIDED SERVICES The Government will furnish the following related services at no cost to the contractor, except as otherwise stated. • Utilities: The government will furnish all utilities (water, electricity, etc.) from existing sources as required for performance of contract services. • Custodial Services: Custodial services will be provided for all government-furnished space in accordance with standard level of services for federal buildings. A.6 SPACE The government will provide work space of sufficient quantity and kind to enable the contractor to perform all functions addressed. No square footage is guaranteed because space needs change over the life of the contract. The government shall ensure the space is free of any hazardous conditions, taking into account safety and health priorities. The contractor shall be exclusively responsible for compliance with applicable laws and regulations for the protection of employees. A.7 OPERATING HOURS Contractor personnel are expected to conform to NOAA operating hours of 8:30a.m. to 5:00 p.m., but accommodate flexible schedules as needed as selected operating unit locations. A.8 CONTRACT DISCREPANCY MEETINGS The government will issue a written Contract Discrepancy Report when the contractor's performance is found to be unacceptable for any contract service. The COR will, within two work days of discovery of a discrepancy, call a meeting between the contractor, and any others, as appropriate, to address the unacceptable performance. The government will, within two work days of the meeting, prepare a Discrepancy Report that explains the problem and documents the meeting discussion. This report will be sent to the contractor and to the Contracting Officer. Within three work days of receipt of the Discrepancy Report, the contractor shall provide, to the COR and the Contracting Officer, a written statement of the planned corrective action. The contractor shall take corrective action within two work days after providing the written statement of corrective action. If the contractor disagrees with the Discrepancy Report, the contractor shall explain, in writing, areas of disagreement to the COR and Contracting Officer within three work days of Discrepancy Report receipt. Upon receipt of the contractor's written disagreement, the Contracting Officer will recommend action. Description of Government Finance Roundtable 1. Finance Function Process Improvement and Transformation Services: Benchmarking and Diagnostics • Finance Capabilities Diagnostic-a self-diagnostic tool designed to help organizations evaluate their existing capabilities and determine areas that could benefit from process improvement. Organizations map department strengths and development opportunities across 20 key attributes of the finance function. Roundtable staff analyze the diagnostic results and provide a customized report and gap analysis, mapping opportunities for improvement to actionable best practices and research from the Roundtable archive. • Operations Alignment Diagnostic - survey-based tool which provides senior most finance executives with a window into the finance team's effectiveness in providing useful support to internal customers. Through a web-based survey, members ask their internal customers to grade the importance and effectiveness of the finance team across attributes spanning core functional responsibilities (e.g., strategic impact, performance management, technical proficiency, process excellence, and business partnering). Roundtable staff analyze responses and create a customized report. Key areas of possible improvement are linked to actionable best practices from the Roundtable's research archive. • Process, Performance and Organizational Benchmarking-provides members the ability to conduct a high-level assessment of resource allocation across the organization, as well as drill down into process specifics for select functions. Coupling this with an assessment of the function's impact and performance across critical attributes of highly effective organizations help CFOs reallocate resources to areas that can help drive productivity and effectiveness. Best Practices Implementation Guidance • Core Finance Process Re-engineering Best Practices-in-depth profiles of tactical improvements and process maps for budgeting and forecasting, strategic planning, management reporting, working capital and risk assessment processes; • Sample Organizational Structure Re-design Templates-online archive of finance organizational structures • Decision Support Tools and Implementation Profiles-end-to-end implementation guide for decision support improvements including reporting structures, responsibilities, skill assessments, and tools for line decision making. • Shared Services Improvement Benchmarks and Profiles-profiles of shared services migration, consolidation of locations, migration of value-added activities to centers, and tactical process and cost savings improvements; featured cases include Telstra, HP, and IBM Facilitated Onsite Workshop • Advisory Workshop-half-day working session per membership period with Senior Research Director and your team on key topics of your choice 2. These modules are rooted in standard and best-demonstrated practices to provide underlying theories and accelerate staff development. Self-study modules consist of an audio and visual lesson, review questions, and test questions. • Web Portal and Decision Support Centers-online archive organized by role and key decisions • Topic-Focused Peer Groups-moderated "question and answer" email groups by topic area, including FP&A, capital structure, finance transformation, risk management, etc.; • Finance Talent Assessment Benchmarking Report-survey assessing the effectiveness of your direct reports versus peers in terms of span of control, time allocation across key activities, skill level, and leadership capabilities 3. Advisory Services for CFO/Deputy CFO Decision-Making: Enterprise Project Support • Enterprise-Level Project Support-end-to-end implementation templates and guidance for CFO-level, company-wide projects including ERM, shared services, supply chain improvements, and other key change initiatives Support for CFO/Deputy CFO Personal Development Objectives • Effective Stakeholder Management-tactics for addressing challenge points in stakeholder relationships including managing the reporting process, effectively communicating performance, and improving decision support capabilities • CFO Personal Effectiveness Tools-benchmarks and tactics for defining an effective role, span of control, activities, and time allocation for CFOs and Deputy CFOs • Quarterly Finance Sub-Function Updates-quarterly document of key trends across controller, treasury, and audit functions, enabling CFOs and Deputy CFOs to manage more strategically and set functional performance objectives • Principals-Only Annual Executive Retreat-annual, one-day discussion-oriented forums focused on a key strategic and emerging issues; 20 CFOs in attendance, vendor-free event 4. Member Events and Networking: • Facilitated Member Meetings-The Roundtable convenes groups of government CFOs and deputy CFOs for content rich, vendor-free discussions and problem-solving opportunities on urgent, government-specific challenges. • Member Teleconferences/Webinars-Virtual forums organized by Roundtable staff as member challenges emerge and as frequently as member interest dictates. Audio files an presentation materials from past teleconferences and webinars are archived on a secure Roundtable member site. • On-Site Support Services-The Roundtable offers a number of services at member facilities, which could range from presenting relevant case profiles to idea generation and strategic planning workshops. In the past, members have indicated that face-to-face interaction helps them align their teams around major business objectives. Description of the Corporate Strategy Board The Corporate Strategy Board provides best demonstrated practice research and executive education to a client base of the world's leading public and private organizations. Its research addresses issues related to corporate strategy, corporate finance, financial services, research & development, human resources, information technology, sales, marketing, communications, compliance, operations and general management, and it focuses on identifying management initiatives, processes, tools and frameworks that will allow its clients to avoid "reinventing the wheel" in addressing problems they share in common with their peers. CAR 1352.201-70 CONTRACTING OFFICER'S AUTHORITY (APR 2010) The Contracting Officer is the only person authorized to make or approve any changes in any of the requirements of this contract, and, notwithstanding any provisions contained elsewhere in this contract, the said authority remains solely in the Contracting Officer. In the event the contractor makes any changes at the direction of any person other than the Contracting Officer, the change will be considered to have been made without authority and no adjustment will be made in the contract terms and conditions, including price. The COR is also responsible for the final inspection and acceptance of all deliverables and such other responsibilities as may be specified in the contract. (2) The COR is not authorized to make any commitments or otherwise obligate the Government or authorize any changes which affect the contract price, terms or conditions. Any contractor request for changes shall be referred to the Contracting Officer directly or through the COR. No such changes shall be made without the express written prior authorization of the Contracting Officer. The Contracting Officer may designate assistant or alternate COR(s) to act for the COR by naming such assistant/alternate(s) in writing and transmitting a copy of such designation to the contractor. (End of clause) 3. FAR 52.217-8 OPTION TO EXTEND SERVICES (NOV 1999) The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 14 days. (End of Clause) 4. FAR 52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000) (a) The Government may extend the term of this contract by written notice to the Contractor within 30 days provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 14 days before the contract expires. The preliminary notice does not commit the Government to an extension. (This notice may be provided in an electronic (e-mail) format). (b) If the Government exercises this option, the extended contract shall be considered to include this option clause. (c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 42 months. (End of Clause) 5. NOAA/ERAD INVOICING REQUIREMENTS (NOV 2008) The requirements of a proper invoice are as specified in the Federal Supply Schedule contract as well as FAR clauses 52.232-1. Unless otherwise agreed to, all invoices must contain the following information: • Name of Contractor • Task order number • Date of order • Period Covered by Billing/Invoice • Contact name and phone number • Contract Line Item # (identify labor category, number of hours (current and cumulative), hourly rate, and extension of cost. NOAA/ERAD GOVERNMENT-CONTRACTOR RELATIONS (MARCH 2006) (a) The Government and the Contractor understand and agree that the services to be delivered under this contract by the contractor to the Government are non-personal services and the parties recognize and agree that no employer-employee relationship exists or will exist under the contract between the Government and the Contractor's personnel. It is, therefore, in the best interest of the Government to afford both parties an understanding of their respective obligations. (b) Contractor personnel under this contract shall not be placed in a position where they are under relatively continuous supervision and control of a Government employee. (c) Employee relationship. (1) Rules, regulations, directives, and requirements that are issued by the DOC/NOAA under its responsibility for good order, administration, and security are applicable to all personnel who enter the Government installation or who travel on Government transportation. This is not to be construed or interpreted to establish any degree or Government control that is inconsistent with a non-personal services contract. (d) Inapplicability of employee benefits. This contract does not create an employer-employee relationship. Accordingly, entitlements and benefits applicable to such relationships do not apply. (e) Notice. The Contractor should notify the Contracting Officer in writing promptly, within 3 calendar days from the date of any incident that the Contractor considers to constitute a violation of this clause. The notice should include the date, nature and circumstance of the conduct, the name, function and activity of each Government employee or Contractor official or employee involved or knowledgeable about such conduct, identify any documents or substance of any oral communication involved in the conduct, and the estimate in time by which the government must respond to this notice to minimize cost, delay, or disruption of performance. NOAA/ERAD REQUIREMENTS FOR HSPD-12 (APRIL 2006) The performance of this contract requires contractors to have physical access to Federal premises for more than 180 days or access to a Federal information system. Any items or services delivered under this contract shall comply with the Department of Commerce personal identity verification procedures that implement HSPD-12, FIPS PUB 201, and OMB Memorandum M-05-24. The contractor shall insert this clause in all subcontracts when the subcontractor is required to have physical access to a federally controlled facility or access to a Federal information system. NOAA/ERAD CONTRACTOR PERFORMANCE EVALUATION (MARCH 2005) The resultant contractor's performance will be evaluated throughout the contract period for inclusion into a Contractor Performance Report (evaluation) by the end user(s) for use by this agency and other government agencies on future source selection award decisions. The report will be completed by the assigned Contracting Officer's Technical Representative (COTR) at the completion of the contract. Upon review by the Contracting Officer, the results will be provided to the contractor who will be given a period of thirty days to review and provide comments. Contractor comments will be reviewed and considered by the Contracting Office. In the case of a contract with option years, an interim report will be completed on the anniversary date of the contract each year.
