(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records-Negotiation. (1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract. (2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved. (3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law. (e)(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in paragraphs (i) through (vii) of this paragraph in a subcontract for commercial items. As prescribed in 32.705-1(a), insert the following clause: AVAILABILITY OF FUNDS (APR 1984) Funds are not presently available for this contract. The Government's obligation under this contract is contingent upon the availability of appropriated funds from which payment for contract purposes can be made. No legal liability on the part of the Government for any payment may arise until funds are made available to the Contracting Officer for this contract and until the Contractor receives notice of such availability, to be confirmed in writing by the Contracting Officer. (End of clause) Attachment FEDERAL ENERGY REGULATORY COMMISSION (FERC) BLANKET PURCHASE AGREEMENT (BPA) PERFORMANCE WORK STATEMENT (PWS) SMART GRID INTERPERABILITY STANDARD 1.0 GENERAL. 1.1 SCOPE. The purpose of this Blanket Purchase Agreement (BPA) is to obtain Contractor's assistance to accomplish the following: Evaluate standards technical suitability for meeting the established reliability goals, assess the impact of standards on the competitiveness of wholesale markets, identify the need for and scope of new standards and identify overlooked of insufficient standards, specify modifications and develop a strategy for the adoption of electricity smart grid interoperability standards as required by Section 1305 of the Energy Independence and Security Act of 2007. This BPA is performance based. 1.2 BACKGROUND. The Energy Policy Act of 2005 requires the Federal Energy Regulatory Commission to evaluate standards and metrics for reliability for the national electric power grid. The Commission's reviews must be completed in a timely way for the standards to effective in safeguarding the reliability of the grid. 1.3 Consultant. The Contractor shall provide a Consultant who shall be responsible for all Contractor work performed under this BPA. 1.3.1. The Consultant shall be a single point of contact for the Contracting Officer and the Contracting Officer's Technical Representative (COTR). 1.3.2 The Consultant shall be available to the COTR via telephone between the hours of 0800 and 1700 Eastern Time, Monday through Friday, and shall respond to a request for discussion or resolution of technical problems upon notification. 1.2.3 Employee Identification. The Contractor shall identify them self as a Contractor when his status is not readily apparent and display all identification and visitor badges in plain view above the waist at all times. 1.2.4 Employee Conduct. The contractor shall comply with all applicable Government regulations, policies and procedures when visiting or working at FERC Licensed Projects. The Contractor shall present a professional appearance at all times and his conduct shall not reflect discredit on the United States or the FERC. 1.2.5 Removing Employees for Misconduct or Security Reasons. The Government may, at its sole discretion, remove any Contractor from the FERC Licensed Projects for misconduct or security reasons. 1.3 KEY PERSONNEL. Shall be determined per BPA Call. 1.4 PERIOD OF PERFORMANCE. The period of performance for this BPA is from date of award for five (5) years. 1.5 PLACE OF PERFORMANCE. Shall be determine per BPA Call 1.6 HOURS OF OPERATION. The Contractor shall generally perform all work between the hours of 0800 and 1700 EST, Monday through Friday (except Federal holidays). However, there may be occasions when the Contractor may be required to work other than normal business hours, including weekends and holidays, to fulfill requirements under this task order. 1.7 TRAVEL. Contractor travel is required to support this BPA. All travel required by the Government outside the local commuting area(s) will be reimbursed to the Contractor in accordance with the Federal Travel Regulations. The Contractor shall be responsible for obtaining COTR approval (electronic mail is acceptable) for all reimbursable travel in advance of each travel event. 1.8 PROGRESS REPORTS. The Consultant shall provide a report to the Contracting Officer and COTR, via electronic mail or FAX during the month when work is performed. This report shall include a summary of all Contractor work performed including: an assessment of technical progress; schedule status; any travel conducted; any Contractor concerns or recommendations for the previous month; and a breakdown of labor hours by labor category and location. In addition, a letter report is to be submitted following each Board of Consultants meeting, site visit or when requested by the COTR on a specific engineering topic. 1.9 GENERAL REPORT REQUIREMENTS. The Contractor shall FAX and mail a hard copy of all reports to the COTR. The report may also be submitted in electronic format with read/write capability using applications that are compatible with Windows Vista and Microsoft Office Applications. 1.10 PERFORMANCE REQUIREMENTS SUMMARY. Performance based contracts include a Performance Requirements Summary (PRS) prepared by the Government that is specific to that task order. In general, the PRS will set forth the expected outcomes (objectives) of the task order, the service(s) required of the contractor to attain the objectives, a performance standard per outcome, and a plan for a reduction in payment in the event the contractor does not meet the performance standard. It is the intent of the Government to maintain consistency in standards and associated reduction schedules for same or similar outcomes from task order to task order. The PRS is not an exclusive remedy and inclusion of the PRS does not preclude the Government from using any other remedy available by law or contract terms, including reductions in payment in accordance with any clause for inspection of services. 1.11 PROTECTION OF INFORMATION. Contractor access to information protected under the Privacy Act and Freedom of Information Act are required for this contract. Contractor employees shall safeguard this information against unauthorized disclosure or dissemination in accordance with the law and Government policy and regulation. 1.12 SECTION 508 COMPLIANCE. Section 508 of the Rehabilitation Act (29 U.S.C. 794d), as amended by the Workforce Investment Act of 1998 (P.L. 105-220), August 7, 1998, requires that when Federal agencies develop, procure, maintain, or use electronic and information technology, they must ensure that it is accessible to people with disabilities, unless it would pose an undue burden to do so. Federal employees and members of the public who have disabilities must have access to and use of information and services that is comparable to the access and use available to non-disabled Federal employees and members of the public. For additional information, please refer to FAR 39.2 or http://www.section508.gov. 1.13 INTELLECTUAL PROPERTY. All Contractor developed processes and procedures and other forms of intellectual property first developed under this BPA shall be considered Government property. 1.13.1 All documentation, electronic data and information collected or generated by the Contractor in support of this contract shall be considered Government property, and shall be returned to the Government at the end of the performance period. 2.0 GOVERNMENT TERMS & DEFINITIONS. 2.1 COTR - Contracting Officer's Technical Representative 2.4 PRS - Performance Requirements Summary 2.5 PWS - Performance Work Statement 2.6 FERC - Federal Energy Regulatory Commission 3.0 GOVERNMENT FURNISHED RESOURCES. The Government will not furnish any resources to the Contractor in support of this BPA. 4.0 CONTRACTOR FURNISHED PROPERTY. The Contractor shall furnish all facilities, materials, equipment and services necessary to fulfill the requirements of this BPA. 5.0 REQUIREMENTS. • Technical assistance in the review of reliability standards. • Recommend areas where new or modified standards need to be developed to ensure reliability and security of the bulk power system. • Recommend acceptance, technical changes/corrections, remanding of a standard and/or creation of a new standard, so as to ensure reliability and security of the bulk power system. • Evaluate information from compliance filings to determine need for modification to reliability standards. • Attend specific meeting organized by the National Institute of Standard and Technology and/or other entities that focus on the development of interoperability standards. • Analyze studies and plans by NIST and other organizations related to existing standards that could be incorporated into or be the basis of interoperability standards. 6.0 DELIVERABLES. Shall be determine per BPA Call 7.0 PERFORMANCE REQUIREMENTS SUMMARY (PRS). Shall be determine per BPA Call Addendum 52.212-1 This is a request for proposal for expert support services outlined in the Performance Work Statement (PWS). This acquisition is being conducted pursuant of Federal Acquisition Regulation (FAR) Part 13 - Simplified Acquisition Procedures, and Part 12 -Acquisition of Commercial Items. As a result of the subject RFP, the Government intends to award a multiple award, five (5) year Blanket Purchase Agreement (BPA). The five (5) year BPA will have a five (5) year ordering period. All task orders under this BPA shall be time and material. SPECIAL CONTRACT REQUIREMENTS Confidentiality of Information (a) To the extent that the work under this contract requires that the contractor be given access to confidential or proprietary business, technical, or financial information belonging to the government or other companies, the contractor shall, after receipt thereof, treat such information as confidential and agree not to appropriate such information to its own use or to disclose such information to third parties unless specifically authorized by the Contracting Officer in writing. The foregoing obligations, however, shall not apply to: (1) Information which, at the time of receipt by the contractor, is in the public domain; (2) Information which is published after receipt thereof by the contractor or otherwise becomes part of the public domain through no fault of the contractor; (3) Information which the contractor can demonstrate was in its possession at the time of receipt thereof and was not acquired directly or indirectly from the government or other companies; (4) Information which the contractor can demonstrate was received from a third party who did not require the contractor to hold it in confidence. (b) The contractor shall obtain the written agreement, in a form satisfactory to the Contracting Officer, of each employee permitted access, whereby the employee agrees that he will not discuss, divulge or disclose any such information or data to any person or entity except those persons within the contractor's organization directly concerned with the performance of the contract. (c) The contractor agrees, if requested by the government, to sign an agreement identical, in all material respects, to the provisions of this clause, with each company supplying information to the contractor under this contract, and to supply a copy of such agreement to the Contracting Officer. From the time upon request of the Contracting Officer, the contractor shall supply the government with reports itemizing information received as confidential or proprietary and setting forth the company or companies from which the Contractor received such information. (d) The contractor agrees, that upon request by FERC, it will execute a FERC approved agreement with any party whose facilities or proprietary data it is given access to or is furnished, restricting use and disclosure of the data or the information obtained from the facilities. Upon request by FERC, such an agreement shall also be signed by contractor personnel. Organizational Conflict of Interest (OCI) (a) The contractor warrants that, to the best of the contractor's knowledge and belief, there are no relevant facts or circumstances which could give rise to an OCI, as defined in FAR Subpart 9.5, or that the contractor has disclosed all such relevant information. For purposes of this contract the term "Organizational Conflicts of Interest" means that a relationship or situation exists whereby an offeror or a contractor (including chief executives and directors, to the extent that they will or do become involved in the performance of the contract, and proposed consultants or subcontractors where they may be performing services similar to the services provided by the prime) has past, present, or currently planned financial or other interests that either directly or indirectly (through a client, contractual, financial, organizational or other relationship) may relate to the work to be performed under a FERC contract which (a) may diminish the contractor's capacity to give impartial, technically sound, objective assistance and advice, or (b) may result in it being at an unfair competitive advantage. This prohibition does not preclude the normal flow of benefits from the performance of the contract. (b) The contractor agrees that if an actual or potential OCI is discovered after award, the contractor will make a full disclosure in writing to the Contracting Officer. This disclosure shall include a description of actions which the contractor has taken or proposes to take, after consultation with the Contracting Officer, to avoid, mitigate, or neutralize the actual or potential conflict. After making a disclosure of an actual or potential conflict of interest, the contractor shall not proceed with performance under the contract until receiving written approval from the Contracting Officer. (c) Access to the use of information: (1) If the contractor, in the performance of this contract, obtains access to information, such as FERC plans, policies, reports, studies, financial plans, internal data protected by the Privacy Act of 1974 (Pub. L. 93-579), or data which has not been released or otherwise has not obtained prior written approval of the Contracting Officer, is shall not: (a) use such information for any private purpose unless the information has been released or otherwise made available to the public; (b) compete for work for the FERC based on such information until such information is released or otherwise made available to the public; (c) submit an unsolicited proposal to the Government which is based on such information until such information is released or otherwise made available to the public; and (d) release such information unless such information has previously been released or otherwise made available to the public by the FERC. (2) In addition, the contractor agrees that to the extent it receives or is given access to proprietary data, data protected by the Privacy Act of 1974 (Pub. L. 93-579), or other confidential or privileged technical, business, or financial information under this contract, it shall treat such information in accordance with any restrictions imposed on such information. (3) The contractor shall have, subject to patent, data, and security clauses of this contract, the right to use technical data if first produces under this contract for its private use, provided that, as of the date of such use, all reporting requirements of this contract have been met. (d) Remedies - The government may terminate this contract for convenience, in whole or in part, if it deems such termination necessary to avoid an OCI. If the contractor was aware of a potential OCI prior to award or discovered an actual or potential conflict after award and did not disclose or misrepresented relevant information to the Contracting Officer, the government may apply any or all other remedies that may be permitted by law or this contract in order to redress its damages. (e) The contractor further agrees to insert, in any subcontract or consultant agreement, provisions which shall conform substantially to the language of this clause, including this paragraph. Your company's proposal must be submitted in three separate volumes. Volume I must contain your company's technical proposal response to the requirements contained in the PWS and shall be no more than 50 pages in length. This volume shall address the PWS requirements sequentially and shall demonstrate your capability to perform all PWS requirements. Restating the PWS requirements in this volume will not be accepted as a demonstration of your capabilities. Volume II must contain a list of at least five (5) relevant past performances to include contracts or task orders for work of the same or similar to the requirements specified in the PWS. This list must include the contract number, value, description and technical/contracting points of contact (POC's). The POC's names, telephone, numbers, agencies and e-mail addresses must also be included. There is no page limit for this volume. Volume III must contain the price proposal. There is no page limit for this volume. Specific task orders under the BPA will be issued after the BPA is established. As part of that process, the government will issue task orders for each specific requirement to the single BPA holder. Basis of Award: The Government will select the contractors which represents the best value. Best value will be determined by evaluating the proposals received using the following evaluation factors: Technical Approach, Past Performance, and Price. Technical Approach and Past Performance are equally important but, when combined are significantly more important than Price. Submission of evaluation criteria: Factor 1 - Technical Approach: A. Subfactor 1 - Technical Experience - shall include experience with smart grid interoperability B. Subfactor 2- Qualifications of Personnel - Personnel/companies involved in carrying out the tasks shall have: 1) appropriate educational background and 2) Resumes (not to exceed two pages) for each proposed team member shall also be provided. C. Subfactor 3-Task Management - shall include: 1) how key personnel will be available when needed to handle task activities, and 2) a plan for meeting unexpected requirements. Factor 2 -_Past Performance: Vendors shall provide past performance information for services relevant to those to be performed under the BPA. Include three (3) past performance references, including the contract number, the agency or company for which the work was performed, a summary of the work product(s), and the name of the contracting and technical person(s) to be contacted with their mailing and e-mail address, telephone, andfacsimile numbers. The Government reserves the right to utilize past performance information in conducting the evaluation, other than the information submitted with the quotations received. Factor 3 - Price: Vendors shall submit a price breakdown to show the following: Labor Categories Fixed Rates per Hour Proposals must address each of the criteria listed above. Additionally, quotes shall provide (1) your Taxpayer Identification Number (TIN), Dun and Bradstreet Number (DUNS), Commercial and Government Entity (CAGE) code, and Electronic Funds Transfer (EFT) information; and (2) a statement whether your company is registered in the Central Contractor Registration (CCR) database. Lastly, quotes should set forth any exceptions/assumptions taken with regard to the PWS or any other aspect of the RFP or any other information that you find necessary and pertinent to your proposal. However, vendors are cautioned that any exceptions/assumptions to the terms and conditions of the solicitation will be at their own risk. Any exceptions or assumptions should clearly identify the paragraph and term or condition to which the exception or assumption is being made and include supporting rationale. Vendors are solely responsible for proposal submission costs. 52.212-3 Offeror Representations and Certifications-Commercial Items. As prescribed in 12.301(b)(2), insert the following provision: OFFEROR REPRESENTATIONS AND CERTIFICATIONS-COMMERCIAL ITEMS (JUNE 2008) An offeror shall complete only paragraph (b) of this provision if the offeror has completed the annual representations and certifications electronically at http://orca.bpn.gov. Listed End Product Listed Countries of Origin ___________________ ___________________ ___________________ ___________________ (2) Certification. [If the Contracting Officer has identified end products and countries of origin in paragraph (i)(1) of this provision, then the offeror must certify to either (i)(2)(i) or (i)(2)(ii) by checking the appropriate block.] [ ] (i) The offeror will not supply any end product listed in paragraph (i)(1) of this provision that was mined, produced, or manufactured in the corresponding country as listed for that product. [ ] (ii) The offeror may supply an end product listed in paragraph (i)(1) of this provision that was mined, produced, or manufactured in the corresponding country as listed for that product. The offeror certifies that it has made a good faith effort to determine whether forced or indentured child labor was used to mine, produce, or manufacture any such end product furnished under this contract. On the basis of those efforts, the offeror certifies that it is not aware of any such use of child labor. (j) Place of manufacture. (Does not apply unless the solicitation is predominantly for the acquisition of manufactured end products.) For statistical purposes only, the offeror shall indicate whether the place of manufacture of the end products it expects to provide in response to this solicitation is predominantly- (1) o In the United States (Check this box if the total anticipated price of offered end products manufactured in the United States exceeds the total anticipated price of offered end products manufactured outside the United States); or (2) o Outside the United States. (k) Certificates regarding exemptions from the application of the Service Contract Act. (Certification by the offeror as to its compliance with respect to the contract also constitutes its certification as to compliance by its subcontractor if it subcontracts out the exempt services.) [The contracting officer is to check a box to indicate if paragraph (k)(1) or (k)(2) applies.] [ ] (1) Maintenance, calibration, or repair of certain equipment as described in FAR 22.1003-4(c)(1). The offeror o does o does not certify that- (i) The items of equipment to be serviced under this contract are used regularly for other than Governmental purposes and are sold or traded by the offeror in substantial quantities to the general public in the course of normal business operations; (ii) The services will be furnished at prices which are, or are based on, established catalog or market prices (see FAR 22.1003-4(c)(2)(ii)) for the maintenance, calibration, or repair of such equipment; and (iii) The compensation (wage and fringe benefits) plan for all service employees performing work under the contract will be the same as that used for these employees and equivalent employees servicing the same equipment of commercial customers. [ ] (2) Certain services as described in FAR 22.1003-4(d)(1). The offeror o does o does not certify that- (i) The services under the contract are offered and sold regularly to non-Governmental customers, and are provided by the offeror (or subcontractor in the case of an exempt subcontract) to the general public in substantial quantities in the course of normal business operations; (ii) The contract services will be furnished at prices that are, or are based on, established catalog or market prices (see FAR 22.1003-4(d)(2)(iii)); (iii) Each service employee who will perform the services under the contract will spend only a small portion of his or her time (a monthly average of less than 20 percent of the available hours on an annualized basis, or less than 20 percent of available hours during the contract period if the contract period is less than a month) servicing the Government contract; and (iv) The compensation (wage and fringe benefits) plan for all service employees performing work under the contract is the same as that used for these employees and equivalent employees servicing commercial customers. (3) If paragraph (k)(1) or (k)(2) of this clause applies- (i) If the offeror does not certify to the conditions in paragraph (k)(1) or (k)(2) and the Contracting Officer did not attach a Service Contract Act wage determination to the solicitation, the offeror shall notify the Contracting Officer as soon as possible; and (ii) The Contracting Officer may not make an award to the offeror if the offeror fails to execute the certification in paragraph (k)(1) or (k)(2) of this clause or to contact the Contracting Officer as required in paragraph (k)(3)(i) of this clause. (l) Taxpayer Identification Number (TIN) (26 U.S.C. 6109, 31 U.S.C. 7701). (Not applicable if the offeror is required to provide this information to a central contractor registration database to be eligible for award.) (1) All offerors must submit the information required in paragraphs (l)(3) through (l)(5) of this provision to comply with debt collection requirements of 31 U.S.C. 7701(c) and 3325(d), reporting requirements of 26 U.S.C. 6041, 6041A, and 6050M, and implementing regulations issued by the Internal Revenue Service (IRS). (2) The TIN may be used by the Government to collect and report on any delinquent amounts arising out of the offeror's relationship with the Government (31 U.S.C. 7701(c)(3)). If the resulting contract is subject to the payment reporting requirements described in FAR 4.904, the TIN provided hereunder may be matched with IRS records to verify the accuracy of the offeror's TIN.
