Description
1. As part of a U.S. Government inter-agency process, the U.S. Department of Commerce will be providing technical assistance to Iraq to create a legal and tax environment conducive to domestic and foreign investment in Iraq?s key economic sectors, starting with the mineral resources sector. Through this initiative, Iraqi officials will be able to access the expertise of world-class professors and practitioners; they will also attend technical workshops which will address Iraq-specific legal and tax issues. The Commercial Law Development Program (CLDP), an entity of the Department of Commerce specializing in technical assistance, will manage the program and share expertise with other USG agencies. The present Statement of Work describes the work to be performed by a Contractor in support of CLDP?s activities under the program. Through the present contract, the Contractor will assist CLDP in providing expertise to the U.S. Department of Commerce, to other USG agencies, or to Iraqi authorities on creating a legal and tax environment conducive to domestic and foreign investment in Iraq?s oil and gas sector. The Contractor will serve as one of the experts on ILSAG. 2. CONTRACTOR RESPONSIBILITIES: In particular, the Contractor may be called upon by CLDP to do the following: 2.1 To provide expert input, when requested, to the U.S. Department of Commerce, to other USG agencies, or to Iraqi authorities as they draft the laws and regulations that will govern Iraq?s oil and gas sector; 2.2 To review draft subsoil laws and draft subsoil regulations to ensure their compliance with international legal standards, and to share her/his conclusions with to the U.S. Department of Commerce, to other USG agencies, or with Iraqi authorities, at CLDP?s behest. 2.3 To review, for the same purpose, the draft by-laws of the Iraqi agencies that will be created to grant exploration and exploitation licenses, to enter into joint venture agreements with foreign firms (upstream and downstream agreements), and to regulate Iraq?s hydrocarbon sector, and to share her/his conclusions with to the U.S. Department of Commerce, to other USG agencies, or with Iraqi authorities, at CLDP?s behest. 2.4 To assist in the planning of technical workshops and seminars geared towards the legal issues critical to the oil and gas sectors, and of alternative solutions to these issues. 3. CONTRACTOR ADDITIONAL RESPONSIBILITIES: In addition to other duties included in this contract, the Contractor shall: 3.1 Advise CLDP, at the earliest possible time, if the Contractor is not able to perform the contract for any reason; 3.2 Report to the CLDP office, at the earliest convenience, any issues that may impair Contractor?s work and the performance of the contract; 3.3 Not provide information on the Contractor?s work to anyone, unless authorized in advance and in writing by CLDP. 4. FORCE MAJEURE In case of events beyond the control of the parties, CLDP and the Contractor will agree upon a new schedule and period of performance. 5. The duration of this contract is from date of award through July 31, 2008 with two one year option periods. The Government contemplates award of a Requirements Contract, FAR 52.216-21, resulting from this RFQ. Vendor must be actively registered in the Central Contractors Registration, CCR, in accordance with 52.204-7. The solicitation notice and all amendments will be posted and available for viewing and downloading on the Government Electronic Posting System (FedBizOpps) site www.fedbizopps.gov or www.eps.gov.
