Description
Franchising has been hailed by several international organizations (e.g. the African Development Bank), as one of the most efficient ways to create new firms and economic growth in Africa. As part of a U.S. Government inter-agency process, the Commercial Law Development Program (CLDP) of the U.S. Department of Commerce (1) has been providing technical assistance to some African governments and/or associations to create the legislative and legal framework required for franchising to thrive. In furtherance of these activities, CLDP is planning to contract with an advisor (The Contractor) who can provide legal expertise to associations in North Africa (and particularly in Algeria), notably by developing model contracts that would ensure that local franchisees enter into fair and balanced contracts with franchisors. Through the present contract, the Contractor will work closely with CLDP in providing legal expertise to associations in North Africa (and particularly in Algeria), as they seek to make franchising a reality in their country. In particular, the Contractor may be called upon by CLDP to do the following: 2.1. Review laws and regulations, whether enacted or in draft form, to ensure that they are consistent with the legislative and legal framework required for franchising to thrive. 2.2. Identify deficiencies of these laws and regulations. 2.3 Prepare recommendations of changes needed to ensure that these laws and regulations are consistent with the legislative and legal framework required for franchising to thrive. 2.4 Organize, with CLDP?s support, seminars, workshops, or conferences to facilitate the adoption of new laws, regulations or practices consistent with the legislative and legal framework required for franchising to thrive. 2.5 Provide legal expertise to associations interested in the promotion of franchising, notably by developing model contracts that would ensure that local franchisees enter into fair and balanced contracts with franchisors. 3. ADDITIONAL CONTRACTOR RESPONSIBILITES In addition to other duties included in this contract, the Contractor shall: 3.1 Advise CLDP, at the earliest possible time, if the Contractor is not able to perform the contract for any reason; 3.2 Report to the CLDP office, at the earliest convenience, any issues that may impair Contractor?s work and the performance of the contract; 3.3 Not provide information on the Contractor?s work to anyone, unless authorized in advance and in writing by CLDP. The base period of this contract will commence on the date of award and extend to July 31, 2008. And, one twelve (12) month option period that extends to July 31 2009. The Contractor will be requested to work on assignments on an as-needed basis. If an option is exercised, the period of performance shall be extended through the end of that option period. Sources Selection Procedures, as identified in FAR PART 12 Acquisition of Commercial Items, shall be utilized in the selection of the offer that is most advantageous to the Government based on the factors contained in the solicitation. The solicitation notice and all amendments will be posted and available for viewing and downloading on the Government Electronic Posting System (FedBizOpps) site www.fedbizopps.gov or www.eps.gov.
