Description
This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in Subpart 12.6 as supplemented with additional information included in this notice. This announcement constitutes the only solicitation. Quotations are being requested and a written solicitation will not be issued. This Request for Quotation (HSCG38-04-Q-S00046) incorporates provisions and clauses in effect through Federal Acquisition Circular 2001-24. The U.S. Coast Guard Aircraft Repair and Supply Center (ARSC) intends to award a firm fixed price contract. ADC Engineering Tech. is the original equipment manufacturer (OEM). This is an unrestricted procurement for the following item: Item 1: Deck Plating, Fabricate and install deck plating n the HH60J alignment fixture in accordance with (IAW) the statement of work provided below. Pricing shall reflect any quantity discount. The Coast Guard does not own nor can it provide specifications, plans, drawings or other technical data. Delivery will be made to USCG, Aircraft Repair and Supply Center HH60J Section, Bldg. 79, Elizabeth City, NC 27909-5001. Desired Completion is 30 days after receipt of contract. Items delivered under this contract shall be new material. Reconditioned/Used Material is not acceptable. Inspection as well as acceptance shall be performed by Contracting Officers Technical Representative (COTR). These parts are for use on the HH60 Jayhawk Helicopter. All responsible sources may submit an offer that will be considered. Section 835 of Public Law 107-296, prohibits the Department of Homeland Security from entering into any contract with a foreign incorporated entity after November 25, 2002, which is treated as an inverted domestic corporation as defined in this clause. The Secretary shall waive the prohibition with respect to any specific contract if the Secretary determines that the waiver is required in the interest of homeland security, or to prevent the loss of any jobs in the United States or prevent the Government from incurring any additional costs that otherwise would not occur. (b) Definitions. As used in this clause: "Expanded Affiliated Group" means an affiliated group as defined in section 1504(a) of the Internal Revenue Code of 1986 (without regard to section 1504(b) of such Code), except that section 1504 of such Code shall be applied by substituting 'more than 50 percent? for 'at least 80 percent' each place it appears. "Foreign Incorporated Entity" means any entity which is, or but for subsection (b) of Section 835 of the Homeland Security Act, Public Law 107-296, would be, treated as a foreign corporation for purposes of the Internal Revenue Code of 1986. "Inverted Domestic Corporation." A foreign incorporated entity shall be treated as an inverted domestic corporation if, pursuant to a plan (or a series of related transactions)- (1) The entity completes after November 25, 2002, the direct or indirect acquisition of substantially all of the properties held directly or indirectly by a domestic corporation or substantially all of the properties constituting a trade or business of a domestic partnership; (2) After the acquisition at least 80 percent of the stock (by vote or value) of the entity is held- (i) In the case of an acquisition with respect to a domestic corporation, by former shareholders of the domestic corporation by reason of holding stock in the domestic corporation; or (ii) In the case of an acquisition with respect to a domestic partnership, by former partners of the domestic partnership by reason of holding a capital or profits interest in the domestic partnership; and (3) The expanded affiliated group which after the acquisition includes the entity does not have substantial business activities in the foreign country in which or under the law of which the entity is created or organized when compared to the total business activities of such expanded affiliated group. ?Person", "domestic", and "foreign" have the meanings given such terms by paragraphs (1), (4), and (5) of section 7701 (a) of the Internal Revenue Code of 1986, respectively. (c) Special rules. The following definitions and special rules shall apply when determining whether a foreign incorporated entity should be treated as an inverted domestic corporation. (1) Certain Stock Disregarded. For the purpose of treating a foreign incorporated entity as an inverted domestic corporation these shall not be taken into account in determining ownership: (i) stock held by members of the expanded affiliated group which includes the foreign incorporated entity; or (ii) stock of such entity which is sold in a public offering related to the acquisition described in subsection (b)(1) of Section 835 of the Homeland Security Act, Public Law 107-296. (2) Plan Deemed In Certain Cases. If a foreign incorporated entity acquires directly or indirectly substantially all of the properties of a domestic corporation or partnership during the 4-year period beginning on the date which is after the date of enactment of this Act and which is 2 years before the ownership requirements of subsection (b)(2) are met, such actions shall be treated as pursuant to a plan. (3) Certain Transfers Disregarded. The transfer of properties or liabilities (including by contribution or distribution) shall be disregarded if such transfers are part of a plan a principal purpose of which is to avoid the purposes of this section. (d) Special Rule For Related Partnerships. For purposes of applying Section 835(b) of Public Law 107-296 to the acquisition of a domestic partnership, except as provided in regulations, all domestic partnerships which are under common control (within the meaning of section 482 of the Internal Revenue Code of 1986) shall be treated as a partnership. (e) Treatment of Certain Rights. (1) Certain rights shall be treated as stocks to the extent necessary to reflect the present value of all equitable interests incident to the transaction, as follows: (i) warrants; (ii) options; (iii) contracts to acquire stock; (iv) convertible debt instruments; and (v) others similar interests. (2) Rights labeled as stocks shall not be treated as stocks whenever it is deemed appropriate to do so to reflect the present value of the transaction or to disregard transactions whose recognition would defeat the purpose of Section 835. (f) Disclosure. By signing and submitting its offer, an offeror under this solicitation represents that it not a foreign incorporated entity that should be treated as an inverted domestic corporation pursuant to the criteria of Section 835 of the Homeland Security Act, Public Law 107- 296 of November 25, 2002. (g) If a waiver has been granted, a copy of the approved waiver shall be attached to the bid or proposal. (End of provision) Anticipated award date is no later than 13 September 2004. Closing date and time for receipt of offers is 4 PM Eastern Time on 08 September 2004. PROPOSALS ARE TO REMAIN EFFECTIVE FOR 60 DAYS AFTER CLOSE OF SOLICITATION. Offers may be submitted on company letterhead stationery indicating the nomenclature; part number; unit price and extended price, FOB point; payment terms and any discount offered for prompt payment, the business size standard and any minority classification; delivery date, and Representation and Certifications contained in FAR Clause 52.212-3, including Alternate I. Statement of work HH60J Alignment Fixture Decking Requirements USCG, Aircraft Repair & Supply Center, Elizabeth City, NC, is requesting offers for the fabrication and installation of aluminum decking to cover and surround an existing HH60 Helicopter alignment fixture located in Hangar 79. The fixture was constructed by ADC Engineering in 2003. Specific requirements are as follows: Purpose: To permit airframe and sheet metal mechanics to work airframe discrepancies on the lower portion of HH60 helicopters while the aircraft is rigged in the alignment fixture. General Specifications: 1) Decking must be of sufficient strength to accommodate a 1,500 pound live load capacity with no deflection of working surface. 2) Equipped with evenly spaced stair treads to allow easy transition from the hangar floor to the stands working surfaces. 3) No alteration of the fixture?s alignment targets will be permitted. WARNING: This Statement of Work is for general guidance only. Potential offerors are STRONGLY ENCOURAGED to make a site visit to the hangar/fixture site. Item #1, Alignment Base Decking: Decking must cover forward area of alignment fixture with overall dimensions of approximately 92.5 inches in width by 216 inches in length. Removable decking must cover base of alignment fixture, inboard of main landing gear tracks at a width of 92.25 inches. Length of decking is expected to be relatively short in relation to width, so as to allow the weight of each piece of decking to not exceed 80 pounds, thus allowing reasonably easy removal by two persons of average strength, yet minimize the total number of pieces needed to cover the approximate 216-inch length of the fixtures base. Decking height must sit at a level where the decks bottom surface is flush with top lip of main landing gear track rails (approximately 16.5 inches above the hangar floor). Upper surface of decking must be of a sufficient smoothness and stiffness to permit the use of mechanics ?creepers? and able to support three mechanics with minimal deflection of the deck surface. Decking must be fabricated to clear 2 contour support structures, one tail landing gear hydraulic jack, and various supporting structures between main landing gear tire tracks. WARNING: This Statement of Work is for general guidance only. Potential offerors are STRONGLY ENCOURAGED to make a site visit to the hangar/fixture site. Item #2, Work Stand Lower Decking (One Right Hand, One Left Hand): Decking is to be attached to two existing movable work stands used for maintenance on both the right and left hand side top of the aircraft. The work stands lower decking is to be installed at a height where the bottom surface of decking is flush with the top edge of the alignment fixtures main landing gear tracks vertical flanges (approximately 16.5 inches above the hangar floor. Decking shall cover the entire area directly below the existing work stands upper work area (dimensions are approximately 250 by 71 inches). A one-tread staircase is to be equipped on each of the decks (1 right and 1 left) to allow easy transition from floor level to the decks top surface. Location of the staircase is along the outboard 250 inch dimension. A strip of hinged decking is needed along the inboard edge of the work stands lower decking along the 250 inch dimension and should extend the lower decking work area surface an additional 18.5 inches in an inboard direction to provide a flush and continuous deck from the outboard edge of the R/H work stand to the outboard edge of the L/H work stand, when base decking is in place and a hinged decking is in a down position. The hinged deck must extend in an inboard direction approximately 18.5 inches to cover the main landing gear wheel tracks. The 18.5 inch wide decking that covers the main landing gear wheel tracks shall be hinged to the work stands fixed decking or work stands vertical support columns and able to rotate 90 degrees upwards to expose the alignment fixtures tire tracks, thus allowing movement in and out of the alignment fixture. A mechanical catch will be required to keep hinged decking up and clear from main landing gear tire tracks. In a downward/work position, hinged decking may rest on upper edge of the main landing gear tire tracks vertical flange. WARNING: This Statement of Work is for general guidance only. Potential offerors are STRONGLY ENCOURAGED to make a site visit to the hangar/fixture site. The decking will be used in support of US Coast Guard owned HH60J Aircraft. The following factors shall be used to evaluate offers: (1) Technical Acceptability of Offer, (2) Past Performance, (3) Price, and Price-Related Factors. Technical Acceptability is the most important evaluation factor affecting award, closely followed by the offeror?s Past Performance. Price is significantly less important than Technical Acceptability or Past Performance.
