Description
This amendment to solicitation NRCS-18-KY-04, Closing Services for Natural Resources Conservation Service in Kentucky is to provide clarification and reference applicable clauses inadvertently omitted from the initial solicitation package. PART I ? THE SCHEDULE, SECTION B-SUPPLIES OR SERVICES Pages 3-8 of this section are the bid schedules by which respondents to this solicitation will submit their offers for the services required in the performance work statement. Delivery orders or task orders will be issued by: Connie Mckinney, Contracting Officer; Linda Rhinehimer, Purchasing Agent; or Linda Fryman, Contracting Officer/Management Analyst. Delivery orders or task orders will be issued by mail, facsimile, or by electronic commerce methods. There is no guaranteed minimum number or maximum number of orders to be issued in the base period or any option period of this contract. SECTION H ? SPECIAL CONTRACT REQUIREMENTS In accordance with Clause 52.216-22, Indefinite Quantity (Oct 1995), the following applies: This is an indefinite quantity contract for the supplies or services specified in the Bid Schedule and the Performance Work Statement for Closing Services (Appendix 4), and is effective for the base period from July 1, 2004 to September 30, 2004. The Government anticipates the need for services beyond the base year and may extend the term of this contract in accordance with Clause 52.217-9, Option to Extend the Term of the Contract. (a) The Government may extend the term of this contract by written notice to the Contractor within 30 days prior to the beginning of the extended term of the contract; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension. (b) If the Government exercises this option, the extended contract shall be considered to include this option clause. (c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 5 years. Delivery or performance shall be made only as authorized by orders issued in accordance with Clause 52.216-18, Ordering (Oct 1995). The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified. Any services and/or supplies to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the Bid Schedule. Such orders may be issued in the base period of July 1 to September 30, 2004 or in any of the four option periods specified in the performance work statement. The estimated inclusive time range is July 1, 2004 to September 30, 2008, if all option periods are exercised. All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control. If mailed, a delivery order or task order is considered ?issued? when the Government deposits the order in the mail. Orders may be issued orally, by facsimile, or by electronic commerce methods only if authorized in the Bid Schedule. Except for any limitations on quantities in the Order Limitations Clause or in the Bid Schedule, there is no limit on the numbers of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations. There is no guaranteed minimum number or maximum number of orders to be issued in the base period or any option period of this contract. Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor?s and Government?s rights and obligations with respect to that order to the same extent as if the order were completed during the contract?s effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after September 30, 2008. In accordance with Clause 52.216-27, Single or Multiple Awards (Oct 1995), the Government may elect to award a single delivery order contract or task order contract or to award multiple delivery order contracts or task order contracts for the same or similar supplies or services to two or more sources under this solicitation. In accordance with Clause 52.217-5, Evaluation of Options (July 1990), except when it is determined in accordance with FAR 17.206(b) not to be in the Government?s best interests, the Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. Evaluation of options will not obligate the Government to exercise the option(s). In accordance with Clause 52.249-4, Termination for Convenience of the Government (Apr 1984), the Contracting Officer, by written notice, may terminate this contract, in whole or in part, when it is in the Government?s interest. The Contractor shall immediately stop all work under this contract and inform any subcontractors to cease work upon notification of termination. The Contractor shall be paid a percentage of the contract price reflecting the percentage of the work performed before the notice of termination. The Contractor shall not be paid for any work performed or costs incurred which reasonably could have been avoided. The Contractor will provide to the Government using standard accounting measures a clear and itemized list of all charges for which they request compensation. This paragraph does give the Government the right to audit the Contractor?s records. In accordance with Clause 52.249-8, Default (Apr 1984), the Government may terminate this contract, or any part hereof, for cause in the event of any default by the Contractor or subcontractor, failure by the Contractor or subcontractors to comply with any of the terms and conditions of this contract, or fails to provide the Government with adequate assurance of future performance. In the event of a termination for cause, the Government shall not be liable to the Contractor or subcontractor for any amount for supplies or services not accepted, and the Contractor shall be liable to the Government for any and all rights and remedies provided by law. Should it be determined that the Government improperly terminated this contract for default, such termination shall be deemed a termination for convenience.
