Description
This is a synopsis for commercial items. The U.S. Securities ad Exchange Commission (SEC) intends to award a one-year firm fixed price purchase order on a sole-source basis to Thomson Financial. The SEC requires data feeds of historical data and on-line services of specified forms that the Enforcement staff will use for cases involving violations of Sections 13(d), 13(g) and 16 (a) of the Securities Exchange Act of 1934 [15 USC 78m(d), 15 USC 78m(g) and 15 USC 78p]. Work requirements: 1) The Contractor shall provide all transaction data including, but not limited to, all data elements from Form 3 (Initial Statement of Beneficial Ownership of Securities), Form 4 (Statement of Changes in Beneficial Ownership), and Form 5 (Annual Statement of Changes in Beneficial Ownership) in the format specified by the SEC; 2) All transaction data items outlined shall be submitted by electronic means, which conforms to a text delimited (pipe or fixed-width) flat file (Lancer Analytics Value-add Data Feed History and Updates or equivalent); 3) As necessary, the Contractor shall convert the data from paper to an electronic text-delimited format all transaction data from Forms 3, 4, and 5; 4) The Contractor shall have in its database a minimum of 15 years of historical data of all Forms 3, 4 and 5 collectively derived, as appropriate; 5) A secure web site (Lancer Analytics Insider Interpreter/Global Access or equivalent) is required which provides the capability to search information and generate reports as it pertains to purchases, sales, and option exercises; 6) A secure web site is desired which will allow the SEC to effectively track insider trading data (Lancer Analytics.com - Insider Database Product or equivalent). In addition, it is highly desirable that the contractor provides: 1) the remaining Form 3, 4, and 5 data elements (excluding the SSN); 2) a unique identifier to each individual transaction; 3) a data element, which reflects the source document of the transaction; 4) on a monthly basis all transaction data that is filed on Forms 144 (Notice of Proposed Sale of Securities) with the SEC (except SSN -Blocks 1b & 2b). The proposed contracting action is for supplies or services for which the Government intends to solicit and negotiate with only one source under the authority of FAR 6.302. Interested parties are advised that no solicitation document is available for this requirement.
