Description
The U. S. Department of Education (ED) contemplates the award of a Time-and-Materials (T&M) purchase order to a qualified law firm to provide legal services to ED's Office of General Counsel. Offerors must demonstrate expertise in matters/transactions involving financial analyses and valuations of Federal assets, structured finance, optimization studies, risk assessment and mitigation, and structuring complex financial transactions. The period of performance will be for approximately three (03) months. This is an unrestricted action under simplified acquisitions procedures. The Request for Quotations (RFQ) will be released on 05/01/02, and will close on 05/09/02. The RFQ will be posted on FEDBIZZOPPS at http://www.fedbizopps.gov. A copy of the RFQ may also be requested by sending an email to pamela.bone@ed.gov. Requests for a copy of the RFQ shall reference EDOODS-02-000049. The following draft statement of work is for information purposes only. This is not a request for quotations (RFQ), therefore, DO NOT SUBMIT quotations until the official RFQ is released. Draft Statement Of Work - 1. Background and Objectives: The Department's Office of the General Counsel (OGC) provides legal advice to the Secretary, the Deputy Secretary and other offices of the Department regarding legal matters affecting Departmental programs and activities. At present, OGC has a need for the legal services of a law firm with substantial knowledge of, and demonstrated expertise in, matters/transactions involving financial analyses and valuations of Federal assets, structured finance, optimization studies, risk assessment and mitigation and structuring complex financial transactions. The objectives of this Purchase Order (PO) are to augment OGC's legal analysis capabilities by obtaining top quality legal services in these highly specialized practice areas. 2. Activities: Under this PO, the contractor shall perform an undetermined number of discrete tasks as requested by OGC. The contractor may be required to perform any or all of the following activities, among others - a. Assist OGC attorneys to identify and articulate relevant legal issues; b. Perform legal research and analysis regarding the legal issues identified by OGC; c. Render professional opinions regarding the legal issues identified by OGC, stating the factual and legal basis for all opinions; d. Prepare and submit to OGC written memoranda or other written documents reflecting the contractor's research, analysis and opinions regarding the legal issues identified by OGC. Such memoranda and reports shall substantially conform to a well-recognized system of legal citation and cite all relevant authorities and factual assumptions relied upon by the contractor in its analysis of the issues presented by OGC; e. Attending and participating at meetings as requested by OGC; f. Reviewing, commenting on and/or supplementing as necessary the legal research and/or analyses performed by OGC attorneys. This list of tasks is not all-inclusive. The Contractor may be asked to perform additional tasks within the general scope of work of this PO.
